Monte Rosa Therapeutics priced an underwritten public offering on Jan. 8, 2026 worth about $300 million, one day after reporting interim phase 1 data for its oral drug MRT-8102. The company sold 11,125,000 shares at $24.00 and pre-funded warrants for 1,375,000 shares at $23.9999.

What happened

On Jan. 7, Monte Rosa said MRT-8102, a molecular glue degrader of the protein NEK7, cut C-reactive protein by 85% after four weeks in people with elevated cardiovascular risk. In the 24 subjects who had finished four weeks of dosing at the Dec. 23, 2025 data cutoff, 94% reached CRP below 2 mg/L. The median starting level was 6.3 mg/L, and the placebo group showed no significant change.

According to a Stocktwits market report, the shares rose more than 50% in premarket trading on Jan. 7, the day of the data, and the $24.00 price was a 5.1% discount to the Jan. 8 close of $25.31. The same report said the offering had been upsized from $200 million.

Deal terms

The offering totaled 12,500,000 shares including the pre-funded warrants. Underwriters had a 30-day option for up to 1,875,000 more shares. Jefferies, TD Cowen and Piper Sandler were joint book-runners, and Wedbush PacGrow and LifeSci Capital were passive book-runners. Closing was expected on or about Jan. 12, off a shelf registration that became effective on March 31, 2025, per the pricing release. The release did not state a use of proceeds.

Why it matters

MRT-8102 is aimed at the NLRP3, IL-1 and IL-6 inflammation pathway. Chief executive Markus Warmuth said in the data release that the CRP reductions were comparable to those previously reported with biologic therapies, while the drug is a pill. The study also found NEK7 degradation of roughly 80% to 90% in T cells at doses from 5 mg to 400 mg, and median IL-6 fell 55% in high-CRP subjects. Adverse events were mild to moderate, with no sign of increased infection risk in blinded data.

Monte Rosa said it is expanding its GFORCE-1 study to more dose levels, expects those results in the second half of 2026, and plans to start a phase 2 trial in atherosclerotic cardiovascular disease in 2026. It is also weighing phase 2 studies in MASH, gout and recurrent pericarditis. Separately, the company expects its partner Novartis to start several phase 2 trials of a different degrader, MRT-6160, in 2026.

What it means for investors

CRP is a biomarker, and the interim release reports a drop in it. A large drop in a four-week study of 24 treated subjects says the drug engages its target, but it does not show fewer heart attacks, and the data are interim and blinded for safety. The step that matters is a phase 2 trial in patients with established disease and, later, outcomes data, which take years and a lot of money.

A $300 million raise gives the company room to run those studies without waiting for a partner. It also issued new shares into a sharp one-day rise, which limits the gain for anyone who held through the move. The company's price in this deal was set only after the rally the Stocktwits report describes, so buyers took on much of the expectation that the data had created.

Other drugs aimed at the same inflammatory pathway are in development, including BioAge's NLRP3 inhibitor BGE-102, and cross-trial comparisons are weak because populations differ. Any competing claim of a "best-in-class" profile will be tested only by head-to-head or larger studies.

What to watch

GFORCE-1 results are guided to the second half of 2026, and the phase 2 start in atherosclerotic cardiovascular disease to sometime in 2026. Monte Rosa also said it would file an IND for a next-generation NEK7 degrader in 2026.
