MindWalk added to Russell 3000E Index, then files $250,000,000 shelf

Tickers HYFT

The index change took effect after the U.S. market close on June 26, 2026. A Form F-3 filed on July 13, 2026 replaces an older shelf and includes a $50,000,000 at-the-market program.

MindWalk Holdings Corp. (NASDAQ: HYFT) said on July 6, 2026 that it had been added to the Russell 3000E Index, effective after the U.S. market close on June 26, 2026. The change came in FTSE Russell's June 2026 semi-annual reconstitution, and membership was reconfirmed in index data published June 29, 2026. The company, which is based in Austin, Texas, describes itself as a Bio-Native AI company.

What the index inclusion means

The release says the Russell 3000E Index covers up to the 4,000 largest U.S.-domiciled public companies by market capitalization. Membership depends on market capitalization as of the rank date, which is reconfirmed in June and December, and there is no application or fee. Passive funds that track the index, or broader benchmarks built from it, become eligible to hold the shares "without any action required by the Company." The release cites FTSE Russell for about USD 12.2 trillion in investor assets benchmarked to or invested in products based on the Russell US Indexes.

The release calls the addition "a meaningful visibility milestone." Chief Executive Officer Jennifer Bath, Ph.D., said it puts the company in front of institutional investors and index-tracking funds that had no mechanism to consider it before. She also said the market is starting to price the infrastructure layer beneath biological AI. Those are the company's views. The release does not give the company's market value, its free float or how many shares passive funds might hold.

The new shelf

A Form F-3 that MindWalk filed on July 13, 2026, after the index announcement, is a replacement registration statement for securities that remained unsold under an earlier F-3 (Registration No. 333-273197) declared effective on July 14, 2023. The filing says the company may keep selling under the earlier statement until the earlier of the new statement's effective date and January 10, 2027. The new base prospectus covers up to $250,000,000 of common shares, preferred shares, debt securities, warrants, units and subscription receipts, offered from time to time. The cover page says the company may not sell any of those securities until the new registration statement is declared effective, and the filing gives no effective date.

Within that base shelf, a sales agreement prospectus supplement covers up to $50,000,000 of common shares sold through JonesTrading Institutional Services LLC as sales agent. The filing says that $50,000,000 is part of the $250,000,000. The at-the-market offering through JonesTrading continues under the earlier statement, using a prospectus supplement filed on November 7, 2025. If the sales agreement ends, any unsold part of the $50,000,000 can be sold in other offerings under the base prospectus.

The filing names JonesTrading as the only sales agent. It names no underwriter or dealer for the base shelf. Its "with a copy to" lines name Jeffrey D. Cohan and Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., of New York, and Eric Foster Mintz LLP, of Toronto. The cover page does not say which party each firm represents.

Money and risks

The release gives no cash balance, net loss or revenue figure, and neither it nor the shelf cover pages say how much of the shelf the company expects to use. The prospectus refers to the company's annual report on Form 20-F for the year ended April 30, 2025, but the release and the shelf filing quote no figures from it.

The prospectus lists the company's financial position and its potential need for additional liquidity and capital among its risks. It also lists going-concern risk and the risk that the company may fail to remediate a material weakness. The release describes its HYFT technology as a function-aware representation of biology, built over 20 years of curation, with 660 million patterns and 25 billion relationships. The release gives no independent validation of those figures.

What comes next

The release says index membership is reconfirmed each June and December. The earlier statement's sales window runs until the new statement takes effect or January 10, 2027, whichever comes first. The new shelf cannot be used until the SEC declares it effective, and the filing does not say when that will be. The release gives no date for any sale under the $50,000,000 program.
