MetaVia Inc. (Nasdaq: MTVA) said in an 8-K dated July 2, 2026 that it filed a prospectus supplement with the Securities and Exchange Commission for the offer and sale of up to $4,000,000 of its common stock. The shares are sold under an At The Market Offering Agreement with Ladenburg Thalmann & Co. Inc. The 8-K states that the offering is an "at the market offering" as defined in Rule 415(a)(4) under the Securities Act of 1933, as amended.

The sales agreement

MetaVia entered into the sales agreement on November 6, 2025 with Ladenburg Thalmann & Co. Inc., as sales agent and/or principal. Under the agreement, the company may offer and sell common stock from time to time through or to Ladenburg, by any method permitted by law that qualifies as an at-the-market offering. The July 2 prospectus supplement covers up to $4,000,000 of shares under that agreement.

The 8-K names Ladenburg Thalmann & Co. Inc. as the sales agent. It names no underwriter, and it names no other placement agent or financial advisor for the program.

Counsel and exhibits

Honigman LLP, counsel to the company, issued an opinion on the validity of the common stock to be issued and sold under the sales agreement and the prospectus supplement. A copy of the opinion is filed as Exhibit 5.1 to the 8-K. The filing also includes the Inline XBRL cover page as Exhibit 104.

The 8-K is signed by Hyung Heon Kim, President and Chief Executive Officer, on behalf of the company. The 8-K states that it does not constitute an offer to sell or a solicitation of an offer to buy any securities, and that there will be no sale in any state where such an offer would be unlawful before registration or qualification under that state's securities laws.

The company and its programs

MetaVia's annual report, filed March 26, 2026, describes the company as a clinical-stage biotechnology company focused primarily on developing treatments for cardiometabolic diseases. It describes two programs, vanoglipel (DA-1241), a GPR119 agonist for MASH and Type 2 diabetes, and DA-1726 for obesity. The report says a Phase 2a trial of vanoglipel reported positive topline 16-week results in December 2024, and that it expected to finalize the Clinical Study Report of that trial in the first half of 2026. For DA-1726, the report says the company started a Phase 1 trial in 2024 and planned to begin Part 3a and Part 3b of that trial in April 2026, with a data readout for both parts planned for the fourth quarter of 2026. Part 3a was to use a one-step titration of 16 mg for four weeks and then 48 mg for 12 weeks. Part 3b was to use a two-step titration of 16 mg for four weeks, 32 mg for four weeks and 64 mg for eight weeks.

The financial position in the annual report

The annual report shows research and development expense of $6.8 million for the year ended December 31, 2025, compared with $21.6 million for 2024. Net loss was $13.0 million for 2025 and $27.6 million for 2024. Cash used in operations was $15.7 million in 2025 and $24.7 million in 2024. Year-end cash and cash equivalents for 2024 were $16.0 million.

What the program means for shareholders

The program is small next to the company's spending: it covers up to $4,000,000 of stock, while cash used in operations was $15.7 million in 2025 and year-end 2024 cash was $16.0 million. Shares sold at the market add to the share count and dilute current holders, and the 8-K gives no price or number of shares. The company calls its Phase 2a vanoglipel result positive, but the annual report shows the Clinical Study Report for that trial was still to be finalized. The DA-1726 trial is a Phase 1 study, with data due in the fourth quarter of 2026. The 8-K does not say how many shares have been sold, gives no timetable for sales, and its exhibits contain only the legal opinion and the cover page.
