MetaVia Inc. (Nasdaq: MTVA) announced on May 9, 2025 a private placement that it estimates will bring gross proceeds of approximately $10.0 million, before placement agent fees and other expenses.

According to the press release filed with an 8-K, investors agreed to buy 9,479,345 shares of common stock at $0.71 per share. They also agreed to buy 4,605,162 pre-funded warrants at $0.709 each. A pre-funded warrant is mostly paid for up front. These carry an exercise price of $0.001 and become exercisable once stockholders approve the underlying shares.

The deal was priced at the market under Nasdaq rules. Closing was expected on or about May 12, 2025. The securities are being sold to institutional accredited investors under an exemption from SEC registration. MetaVia agreed to file a resale registration statement and to seek stockholder approval for the shares underlying the pre-funded warrants. Ladenburg Thalmann & Co. Inc. was exclusive placement agent.

The Cambridge, Massachusetts company plans to use the net proceeds for working capital and corporate purposes, including continued clinical development of DA-1726 for obesity.
