Mesoblast Limited filed a Form F-3 on December 30, 2025 to register the resale by named shareholders of up to 5,000,000 ordinary shares, represented by 500,000 American Depositary Shares (ADSs), that are issuable on exercise of warrants. Each ADS represents 10 ordinary shares. The ADSs trade on the Nasdaq Global Select Market as MESO and the ordinary shares on the Australian Securities Exchange as MSB. The filing is marked "Subject to Completion," and the shareholders cannot sell until the registration statement takes effect.

The warrants

In December 2025 Mesoblast issued warrants over 5,000,000 ordinary shares to Dr Gregory George and Cova Holdings, LP, as part of the commitment fee for subscription agreements. Those agreements allow Mesoblast to issue subordinated unsecured convertible notes of up to US$50 million within 30 days after its annual general meeting of November 25, 2025. The filing does not say whether the company exercised that option within the window.

The warrants carry an exercise price of US$16.25 per ADS, or US$1.625 per ordinary share, and expire four years from issuance. 2,000,000 warrants are exercisable from issuance. The other 3,000,000 vest only if Mesoblast, at its sole discretion, exercises its rights to issue the convertible notes. Mesoblast expects to classify the warrants as a financial liability on initial recognition.

The selling shareholder table, as of November 30, 2025, lists Dr George and Dr William Gueck, not Cova Holdings. Gueck is shown with 1,000,000 warrant shares, and the filing does not explain how Cova relates to him. A footnote splits the 2,000,000 warrants that are exercisable at issue into 1,600,000 for Dr George and 400,000 for Dr Gueck, and the 3,000,000 that vest only on the note option into 2,400,000 and 600,000.

Holdings and dilution

The table lists 1,287,002,187 ordinary shares outstanding as of November 30, 2025. Dr George held 277,451,734 ordinary shares, or 21.6%, before the offering, and would hold 273,451,734, or 21.2%, after the sale of the 4,000,000 shares he may offer. Dr Gueck held 64,921,900 shares, or 5.0%, and may sell 1,000,000. The filing shows 1,279,967,187 ordinary shares outstanding at June 30, 2025.

Proceeds, expenses and counsel

Mesoblast receives nothing from resales by the shareholders. It receives US$16.25 per ADS only when the warrants are exercised. The shareholders pay the sales commissions and discounts. The filing estimates total expenses of $121,688, of which depositary costs are $45,000, accounting fees $37,879 and legal fees and expenses $30,000. The filing names no underwriter or placement agent for the resale. Rimôn is the company's counsel on the validity of the securities, and Andrew Reilly of Rimôn Law is listed as the copy-to contact.

The balance sheet behind the warrants

The capitalization table, as of June 30, 2025, shows cash and cash equivalents of $161,551 thousand, current borrowings of $54,155 thousand and non-current borrowings of $67,739 thousand. The table does not include the warrants or the ordinary shares issuable on their exercise.

The company

Mesoblast was incorporated in June 2004 and listed on the ASX in December 2004, and its ADSs have traded on Nasdaq since November 2015. Its annual report on Form 20-F for fiscal 2025, filed August 29, 2025, says it completed a global private placement in January 2025 that raised approximately US$160.0 million (A$260 million). It also says the FDA approved Ryoncil in December 2024, and that Dr George, its largest shareholder, joined the board in February 2025.

What the filing leaves open

The F-3 does not say whether the convertible notes have been issued, in what amount or on what conversion terms. It gives no date for the 3,000,000 warrants to vest, and it does not say when any warrants are likely to be exercised.
