MeiraGTx Holdings plc (Nasdaq: MGTX) extended the maturity of its notes under its financing with Perceptive Credit Holdings III, LP from August 2, 2026 to May 2, 2027, and agreed to redeem $25,000,000 of the outstanding principal on or before June 30, 2026. The company also lowered the exercise price on warrants granted to Perceptive to $8.00 per share. It disclosed the changes in a Form 8-K filed March 26, 2026.
What the filing says
On March 25, 2026, MeiraGTx, as issuer, and its wholly-owned subsidiaries MeiraGTx UK II Limited and MeiraGTx Ireland DAC, the Subsidiary Guarantors, signed Amendment No. 4 to the Amended and Restated Notes Purchase Agreement and Amendment No. 1 to Warrant Certificates. The other parties are the noteholders and Perceptive, which acts as administrative agent and noteholder. The Notes Purchase Agreement is dated December 19, 2022. Together, the two documents are called the Amendments.
Under the Amendments, the Maturity Date moves from August 2, 2026 to May 2, 2027. The company agreed to redeem a portion of the outstanding principal amount of the Notes equal to $25,000,000 on or before June 30, 2026.
The warrants
Perceptive was granted the warrants in August 2022, when MeiraGTx entered into its initial financing with Perceptive. They cover up to 400,000 ordinary shares at an exercise price of $15.00 per share and up to 300,000 ordinary shares at $20.00 per share. The Amendments change the exercise price to $8.00 per Warrant Share. A lower exercise price means the holder can buy the shares for less than before.
A related party
The filing notes the link between the lender and the board. Ellen Hukkelhoven, Ph.D., a member of MeiraGTx's Board of Directors, is Head of Biotechnology Investments at Perceptive Advisors, LLC, an affiliate of Perceptive. The filing also says affiliates of Perceptive own, in the aggregate, more than 10% of the company's outstanding shares.
Item 2.03 of the 8-K incorporates the same terms as a direct financial obligation of the company. Chief Financial Officer Richard Giroux signed the 8-K.
Results and cash position
The 8-K also furnishes the company's results for the year ended December 31, 2025. In the earnings press release, filed as Exhibit 99.1, MeiraGTx reports that as of December 31, 2025 it had cash and cash equivalents of approximately $65.9 million, $3.0 million in receivables due from Johnson & Johnson Innovative Medicine and $15.3 million in tax incentive receivables.
The release also describes two sources of outside funding. It says the company formed a joint venture, Hologen Neuro AI Ltd, with Hologen Limited, with a $200 million upfront payment to MeiraGTx. Hologen also committed additional funding into the joint venture of up to $230 million to fully fund the development of the AAV-GAD Parkinson's program through approval. MeiraGTx will hold a 30% ownership in the joint venture. The release also says MeiraGTx received an upfront payment of $75 million from Eli Lilly and Company under a collaboration on AAV-AIPL1, and is eligible for over $400 million in total milestone payments, plus tiered royalties on licensed products.
In the same release, MeiraGTx said the FDA granted Breakthrough Therapy Designation for AAV2-hAQP1 for late xerostomia caused by radiotherapy for cancers of the upper aerodigestive tract.
