MapLight Therapeutics (Nasdaq: MPLT) agreed on August 13, 2026 to sell 9,197,887 shares of voting common stock to institutional investors in a private placement, according to a Form 8-K filed the same day. Certain purchasers took pre-funded warrants for 3,983,168 shares in place of common stock. The purchase price is $11.38 a share, and the warrants are priced at $11.38 less $0.0001 per underlying share. The company expects gross proceeds of about $150.0 million before placement agent fees and offering expenses. The company announced the deal in a press release that day, the same day it reported second-quarter results.
The warrant and registration terms
Each pre-funded warrant has a $0.0001 exercise price and does not expire until it is exercised in full. A warrant cannot be exercised if the holder would then own more than a beneficial ownership limit. A holder with less than 20% of the common stock can raise or lower that limit on 61 days' notice, but never above 19.99%. Warrant shares add to the share count only when holders exercise, and the cap can delay exercise for holders near the limit.
Under a registration rights agreement signed the same day, MapLight agreed to file a resale registration statement within 30 days after the closing. If it misses the filing or effectiveness deadlines, it owes each purchaser liquidated damages of 1.0% of that purchaser's purchase amount per 30-day period, subject to caps set out in the agreement. The company also agreed to indemnify the purchasers in connection with that registration statement.
The sale was made in a private placement under Section 4(a)(2) of the Securities Act. The 8-K says it involved no general solicitation or advertising. The 8-K does not name the purchasers.
Banks and placement agents
The company engaged Morgan Stanley & Co. LLC, Jefferies LLC, Leerink Partners LLC and Stifel, Nicolaus & Company, Incorporated as placement agents for the private placement. It agreed to pay customary placement fees and to reimburse certain expenses of the agents. The 8-K does not state the fee amount, so the net proceeds cannot be calculated from it. The 8-K names no counsel.
Cash and what the deal adds
The 8-K says MapLight had cash, cash equivalents and investments of $351.3 million as of June 30, 2026, a preliminary figure reported with the second-quarter results. The 10-Q for that quarter, in its XBRL summary, shows cash and cash equivalents of $71.6 million and short-term investments of $233.1 million at June 30, 2026. The filings do not break the $351.3 million total into its parts, so the total cannot be matched to those two lines.
The company's 2025 annual figures, from the 10-K filed March 26, 2026, show a net loss of $161.2 million, against $77.6 million in 2024. Research and development expense was $138.3 million, against $68.5 million. Cash used in operations was $138.1 million in 2025, against $78.8 million in 2024. Against that spending, the placement adds about $150.0 million gross, before fees.
This story does not describe the company's clinical programs or any trial results, so it does not assess the science. The filings also give no share count before the deal, so they do not state the percentage of shares the sale adds.
What comes next
A later resale prospectus, filed under the same registration, says the private placement closed on August 14, 2026, and registers 13,181,055 shares of common stock. That total is the 9,197,887 common shares plus the 3,983,168 warrant shares. The company receives no proceeds from resales by the holders, according to that prospectus. Any cash from the deal reaches the company at closing or when warrants are exercised, and the filings do not say how the company plans to use it.
