Mangoceuticals, Inc. sold 709,677 shares of restricted common stock to five accredited investors for $1.55 per share, or a total of $1,100,000, the company said in a Form 8-K filed September 2, 2025.

The company signed four subscription agreements with the investors on August 26, 2025 and August 29, 2025. The agreements include piggyback registration rights for one year after the subscription dates. Piggyback rights let investors add their shares to a registration statement the company files for other reasons, so the shares can later be resold publicly.

The shares were not registered with the SEC. Mangoceuticals relied on the private offering exemptions in Section 4(a)(2) and Rule 506 of Regulation D, saying the buyers were accredited investors with access to the kind of information a registration statement would contain. The securities carry a legend restricting transfer.

The company said it used no general solicitation, and that no underwriters or agents were involved. It paid no underwriting discounts or commissions.
