Lunai Bioworks Inc. (Nasdaq: LNAI), formerly Renovaro Inc., said it cannot file its annual report on Form 10-K for the fiscal year ended June 30, 2026 on time without unreasonable effort or expense.
In a late filing notice dated September 29, 2026, the Sacramento, California company said it expects to file the report on or before the fifteenth calendar day after the due date, as Rule 12b-25(b) permits.
Lunai expects a net loss of approximately $3.2 million for the year, compared with approximately $178.0 million for the year ended June 30, 2025. It said the smaller loss mainly reflects the absence of the approximately $170.4 million goodwill impairment charge recorded in fiscal 2025. General and administrative expenses fell about $10.4 million after a restructuring. The company also recognized a gain of approximately $12.0 million on the deconsolidation of GEDi Cube B.V. following that unit's bankruptcy.
Those items were partly offset by an approximately $7.4 million loss on extinguishment of debt tied to the company's fiscal 2026 debt restructuring and debt exchange transactions. There was also an impairment of about $0.832 million on long-lived assets and a less favorable change of approximately $11.1 million in the fair value of contingent consideration.
The company said the figures are preliminary and unaudited.
