Liminatus Pharma, Inc. told the Securities and Exchange Commission that it could not file its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2025 on time.

The company made the disclosure on Form 12b-25, a notice of late filing. A company uses this form when it misses a report deadline. Filing it gives the company a short extra period. For a quarterly report, that period runs to the fifth calendar day after the original due date.

Liminatus said it could not file on time "because the financial statements could not be completed in sufficient time to solicit and obtain the necessary review of the subject report and signatures thereto in a timely fashion prior to the due date of the report."

The company checked the box stating that the quarterly report will be filed on or before the fifth calendar day after the due date.

Liminatus said it has filed all other periodic reports required during the preceding 12 months. It also said it does not expect a significant change in results of operations from the same period of the last fiscal year to be reflected in the report.
