The offering terms

LB Pharmaceuticals Inc (Nasdaq: LBRX) priced an initial public offering of 19,000,000 shares of common stock at $15.00 per share, or $285,000,000 before underwriting discounts. The prospectus is dated September 10, 2025. The shares are approved for listing on the Nasdaq Global Market under LBRX, and the company says completion of the offering depends on that listing. There was no public market for the stock before the offering.

Underwriting discounts and commissions are $1.05 per share, or $19,950,000. Proceeds to the company, before expenses, are $13.95 per share, or $265,050,000. The company estimates net proceeds of approximately $261.1 million, or approximately $300.8 million if the underwriters exercise their option in full. That option, open for 30 days, covers up to 2,850,000 additional shares. Underwriters expected delivery on September 12, 2025.

After the offering, 22,442,989 shares would be outstanding, or 25,292,989 if the option is exercised in full. The cover page names Leerink Partners, Piper Sandler and Stifel as underwriters. It does not say which of them leads the deal, and it names no counsel.

What the company is selling

LB Pharmaceuticals describes itself as a clinical-stage biopharmaceutical company developing therapies for schizophrenia, bipolar depression and other neuropsychiatric diseases. Its lead product candidate, LB-102, is a new chemical entity and a methylated derivative of amisulpride, a second-generation antipsychotic. The company believes LB-102 could be the first benzamide antipsychotic approved for neuropsychiatric disorders in the United States.

Heather Turner, J.D., the chief executive officer, was previously president and chief executive officer of Carmot Therapeutics Inc. The company says the offering proceeds, together with existing cash, will advance LB-102 in acute schizophrenia and bipolar depression, with the remainder for general corporate purposes.

The trial record and what is still ahead

In January 2025, the company announced results from a four-week, placebo-controlled, double-blinded Phase 2 trial in the United States in acute schizophrenia. The company says the trial met its primary endpoint, the change in the Positive and Negative Syndrome Scale (PANSS) at Week 4, with a statistically significant decrease in symptoms at all three doses, 50 mg, 75 mg and 100 mg, compared with placebo.

The company also reports a statistically significant effect on negative symptoms at the 50 mg dose. An exploratory post hoc analysis of patients with prominent negative symptoms at baseline repeated that result, but it was run after the fact and is not the primary endpoint. Four weeks is short for a chronic disease the company says has no cure. The company describes LB-102 as generally well tolerated, with adverse events mostly transient and mild to moderate.

The next step is a Phase 3 trial of approximately 400 patients at about 25 sites in the United States, with the change in PANSS at Day 42 as the primary endpoint. The company expects topline data in the second half of 2027. If the data are positive, it plans to meet the FDA in the first quarter of 2028 about a possible new drug application.

Losses, going concern and internal controls

The financial statements carry a going concern warning, and the audit report from BDO USA, P.C. includes a going concern paragraph. The company says its history of operating losses and cash use, together with its planned spending, raises substantial doubt about its ability to continue. Cash and cash equivalents were $14.2 million at June 30, 2025, which the company says will not be sufficient for operating and capital needs for at least 12 months after its audited statements are issued.

Research and development expense was $51,171 thousand in 2024, against $7,845 thousand in 2023. General and administrative expense was $13,659 thousand in 2024, against $3,531 thousand in 2023. The net loss attributable to common stockholders was $63,102 thousand in 2024, against $6,275 thousand in 2023. For the six months ended June 30, 2025, the net loss was $10,177 thousand, against $43,850 thousand for the same period of 2024.

The risk factors flag royalty agreements that may drain cash or lead to debt. The prospectus also discloses material weaknesses in internal control over financial reporting. Management says entity-level controls were not appropriately designed and maintained to prevent or detect material misstatements.
