- Korro Bio, Inc. Form 8-K filed May 7, 2025 (SEC EDGAR)

Korro Bio, Inc. said in a Form 8-K filed May 7, 2025, under Item 2.05 that it initiated a strategic plan to streamline its operations, including a workforce reduction of about 20%. The company estimates one-time restructuring charges of about $1.2 million, covering employee severance, benefits and related termination costs. It expects most of those charges in the three months ended June 30, 2025. The same day, Korro released its first-quarter 2025 results and said the cost reductions are expected to extend its cash runway into 2027.
The 8-K says the estimates depend on assumptions, risks and uncertainties, and that actual results may differ. It also says Korro may incur other material charges it has not yet contemplated. The filing does not say which functions or sites the 20% covers.
The restructuring and the programs
In the earnings release, Korro says the streamlining is meant to advance its programs. The priorities it lists are completing the Phase 1/2a REWRITE trial of KRRO-110 in 2026, nominating a second development candidate, and advancing up to two programs under its collaboration with Novo Nordisk. KRRO-110 is being developed for alpha-1 antitrypsin deficiency, or AATD, which the release describes as a genetic disorder that can cause emphysema and cirrhosis.
The release says interim data from REWRITE remain on track for the second half of 2025. That readout is still ahead, and the release reports no clinical results. The cut therefore comes before that readout.
Todd Chappell, identified in the release as COO, said of the cut: "The reduction in our workforce was not an easy decision, and we are committed to supporting our current and former employees during this transition." The release does not say how many roles were removed in each function.
Cash and losses
Korro reported cash, cash equivalents and marketable securities of $139.0 million at March 31, 2025, down from $163.1 million at Dec 31, 2024. The company said the March 31 balance will fund operating expenses and capital expenditure requirements into 2027. The release does not say what the runway would be without the cuts.
Collaboration revenue in the first quarter was $2.6 million, all of it from the Novo Nordisk agreement. There was no collaboration revenue in the same quarter of 2024. Research and development expenses rose to $19.7 million from $13.6 million, which the company attributes mainly to external development costs for KRRO-110, personnel and other research costs. General and administrative expenses were $7.8 million, against $7.9 million a year earlier.
Net loss was $23.4 million in the first quarter of 2025, compared with $19.6 million in the first quarter of 2024. The restructuring is set against a loss that grew in the same quarter, and the charges are not yet in those figures.
The 10-K for 2024, filed March 18, 2025, shows the full-year picture. It reports a net loss of $83,581 thousand for 2024, against $81,172 thousand for 2023, and cash, cash equivalents and marketable securities of $163.1 million at Dec 31, 2024. The release describes Korro as a clinical-stage company developing genetic medicines based on RNA editing.
What the filing leaves open
Korro's own release lists a second development candidate for announcement in 2025, a timing that now sits alongside a smaller team. Neither document says whether the second candidate's timeline has moved, or whether the cut affects the Novo Nordisk program's staffing.
The 8-K does not give a dollar figure for the cash savings from the 20% cut. It also gives no runway figure for a scenario in which the REWRITE readout disappoints. The company's guidance of cash into 2027 is the only horizon in the filings.
