The offering
Kailera Therapeutics, Inc. filed a Form S-1 registration statement with the SEC on March 27, 2026, for an initial public offering of its common stock. The Waltham, Massachusetts company is a Delaware corporation selling the shares itself. It says no public market for them exists yet. The cover page leaves blank the number of shares and the public offering price, so the filing does not yet say how much the offering would raise.
Kailera has applied to list the stock on the Nasdaq Global Select Market under the symbol KLRA. The cover lists J.P. Morgan, Jefferies, Leerink Partners, TD Cowen and Evercore ISI as joint book-running managers, and William Blair as lead manager. The underwriters would get an option, for 30 days, to buy additional shares at the offering price. The cover also lists Latham & Watkins LLP and Paul Hastings LLP under "Copies to," but it does not say which firm acts for Kailera and which for the underwriters.
The lead drug and its trials
The lead product candidate is ribupatide, also known as KAI-9531, a once-weekly injectable GLP-1/GIP receptor dual agonist peptide. Jiangsu Hengrui Pharmaceuticals Co., Ltd., known as Hengrui, develops it, and Kailera holds the rights outside Greater China, Hong Kong, Macau and Taiwan. Kailera owes Hengrui milestone payments and royalties under the Hengrui License Agreement.
The Phase 3 KaiNETIC program has three trials testing doses of 4 mg, 6 mg, 8 mg and 10 mg against placebo over 76 weeks. KaiNETIC-3 also has an open-label arm of 2.4 mg semaglutide. Kailera expects topline results from KaiNETIC-2 and KaiNETIC-3 in 2028. A separate Phase 2b trial of about 250 participants is testing higher doses.
Most of the efficacy data come from Hengrui's trials in China. In one, 12 weeks at the 8 mg dose gave a mean weight reduction of 23.6% from baseline, compared with a 1.8% reduction with placebo. That result uses the efficacy estimand, which leaves out data collected after participants stopped treatment early or began other weight-loss drugs. More than 2,500 participants have been dosed with ribupatide, with treatment out to 52 weeks.
The filing also says Kailera has not run head-to-head trials of ribupatide against approved products or drugs in development. Its claim that the drug was designed to beat tirzepatide rests on laboratory binding studies, which show 3x GLP-1 receptor binding affinity and 0.5x GIP receptor binding affinity compared with tirzepatide. All of its product candidates are still in clinical development in the United States, and the filing says it will take several years to commercialize them.
Losses and cash
The company has lost money in every period it has reported. For the period from May 8, 2024 (inception) to December 31, 2024, the net loss was $219,713 thousand, including $214,070 thousand of acquired in-process research and development tied to the Hengrui License. For the year ended December 31, 2025, the net loss was $148,955 thousand, with research and development expenses of $109,113 thousand and general and administrative expenses of $49,227 thousand.
At December 31, 2025, Kailera held cash and cash equivalents of $160,267 thousand and marketable securities of $385,789 thousand. Before the offering, its balance sheet showed a total stockholders' deficit of $356,458 thousand, an accumulated deficit of $368,668 thousand and convertible preferred stock of $992,364 thousand. The filing says Kailera has raised $900 million from life science investors since inception, among them Bain Capital Life Sciences, Bain Capital Private Equity, RTW Investments, Atlas Venture and CPP Investments.
The risk factors say the company's net losses and negative cash flows will continue. Kailera expects to finance operations through equity offerings, debt financings, royalty financings and other capital sources.
What comes next
The filing gives no date for pricing, no share count and no price range. The next readings are the Phase 3 topline results expected in 2028, along with the final terms of the offering. Until then, the efficacy case rests on a Chinese trial that compared the drug with placebo under an analysis method the company chose, plus laboratory comparisons with tirzepatide that no head-to-head trial has tested.
