Iovance Biotherapeutics, Inc. (Nasdaq: IOVA) filed an automatic shelf registration statement on Form S-3ASR on June 18, 2026, as a well-known seasoned issuer. The base prospectus covers common stock, preferred stock, debt securities, warrants, units and rights. The company said it will give the specific terms of any future offering in a prospectus supplement, and that any underwriters, dealers or agents will be named there with their fees and the net proceeds to the company.

Attached to the shelf is a sale agreement prospectus supplement covering up to $89,650,167 of common stock. The stock may be sold under an Amended and Restated Open Market Sale Agreement, dated August 22, 2025, with Jefferies LLC. The company's last reported sale price on the Nasdaq Global Market was $3.93 per share on June 17, 2026. Iovance said it has suspended and will make no further sales under its prior prospectus supplement and prospectus, so the $89,650,167 now sits under this new filing.

Who is involved

Frederick G. Vogt, Ph.D., J.D., is interim chief executive officer and president and also general counsel, and he is the agent for service on the filing. Emilio Ragosa of DLA Piper LLP (US), Short Hills, New Jersey, is listed for copies of communications. No underwriter or placement agent is named for a specific offering in this filing. Jefferies appears only as the sales agent under the August 2025 agreement.

The 2025 numbers

The company's annual report for 2025, filed February 24, 2026, reports research and development expense of $300.3 million, up from $276.2 million in 2024. The net loss was $391.0 million for 2025, up from $372.2 million. Cash used in operations was $302.4 million in 2025, down from $353.0 million in 2024.

The annual report's own business section says Iovance has become a commercial company. It sells Amtagvi, a one-time, individualized T cell therapy for adults with previously treated advanced or metastatic melanoma, and Proleukin, an interleukin-2 product used in the Amtagvi regimen. The company says the therapy could address more than 30,000 previously treated advanced melanoma patients a year, which is a potential figure, not a sales figure.

Against cash used in operations of $302.4 million in 2025, the filing gives no year-end 2025 cash figure. It also does not say how much of the August 2025 program has been used.

What the data show

The annual report cites the final five-year analysis of the C-144-01 trial, published in the Journal of Clinical Oncology and presented at ASCO in May 2025. It reports a 31.4% objective response rate, a median duration of response of 36.5 months, median overall survival of 13.9 months and five-year overall survival of 19.7%. The company calls that durability unprecedented, which is its description. A retrospective real-world study of 41 evaluable patients, presented in February 2026, found a physician-assessed response rate of 44% and a disease control rate of 73%. The response rate was 52% after two or fewer prior therapies and 33% after three or more. Two registrational trials are running, in frontline advanced melanoma and non-small cell lung cancer.

Regulatory path outside the US

Amtagvi is approved in the United States and Canada, according to the annual report. Approvals in the United Kingdom and Australia were expected in the first half of 2026, and Switzerland in 2027. In the European Union, Iovance withdrew its initial marketing authorization application in July 2025 and plans to resubmit a centralized application in 2026. The annual report does not say whether the UK or Australian approvals had come through by June 2026.

What comes next

The filing gives no date for the next sale under the August 2025 program, and it does not say whether the company will use the shelf. Under the shelf, the company may offer securities from time to time, and each offering would come with its own supplement. The forward-looking statements in the filing list regulatory decisions, commercial execution and the ability to attract and retain key personnel among the risks. The next dated checkpoints are the EU resubmission in 2026 and the Switzerland decision in 2027, both of which the annual report gives as company targets.
