Innate Pharma SA (Euronext: IPH) filed the execution version of a subscription agreement for new ordinary shares. The agreement is dated August 14, 2026 and covers a capital increase without preferential subscription rights for existing shareholders. The French company is using the 26th resolution of its combined shareholders' meeting, held May 21, 2026.

The new shares have a nominal value of €0.05 and are offered at a fixed price of €1.70 each. The offering has two tranches. In the United States, shares go to qualified institutional buyers under Rule 144A, relying on the Section 4(a)(2) exemption. Outside the United States, they go to qualified investors in the European Union, including France, and to investors elsewhere under private placement exemptions. The shares are not registered under the Securities Act of 1933.

Placement agents and mechanics

Stifel Europe Securities SAS and BTIG, LLC are the placement agents under a placement agreement dated the same day as the subscription form. Stifel also acts as centralizing agent and delivers the closing to each investor. Closing is set for 8:30 a.m. Paris time on August 18, 2026, unless the company and the agents agree otherwise. By then the new shares must be approved for listing on Euronext Paris.

Each investor irrevocably commits to subscribe a number of shares, and pays the purchase price in euros by wire transfer. The investor receives bearer shares once the issuance is acknowledged by a depositary certificate issued by Société Générale Securities Services, which acts as the company's transfer agent and registrar. The form refers to separate launch and pricing press releases for the offering. The filed document is a form. The number of shares for each investor and the total subscription price are left blank, and the form gives no aggregate size for the capital increase. The form names no counsel and states no agent fees.

The offering was conducted on the basis of the company's French-language 2025 universal registration document, filed with the Autorité des marchés financiers.

The company's money

The annual report on Form 20-F for 2025, filed April 1, 2026, gives revenue of €9.0 million, down from €20.1 million in 2024. Research and development expense was €43.6 million, down from €52.0 million. The net loss was €49.2 million for 2025, against €49.5 million for 2024. Cash used in operations was €52.8 million in 2025.

Year-end cash and cash equivalents were €28.1 million at December 31, 2025, against €66.4 million a year earlier. Short-term investments were €6.2 million, against €14.4 million. Both balances are well down from the prior year-end, and the new shares are being sold at a time when the company's own cash line is shrinking.

Regulatory history

The 20-F says Innate has never submitted a product candidate for marketing approval in the United States, the European Union or elsewhere. It expects the US filing to be a Biologic License Application, known as a BLA. Before approval, the company must show that a product is safe and effective in well-controlled clinical trials. The filing also warns that regulators can halt a study or ask for more data, and either step could delay the company's plans and reduce its ability to generate product revenue.

What comes next

The company says the new shares will be issued at closing and listed on Euronext Paris. The form gives no proceeds figure and no use of proceeds. Because the investor allocations are blank, the amount raised cannot be read from this filing alone, and the price is fixed at €1.70 for every investor in the offering.
