Indivior PLC (Nasdaq: INDV) expects to record $39 million to $50 million of pre-tax restructuring charges, of which $27 million to $35 million will be cash. The company disclosed the plan in a Form 8-K filed August 26, 2025 under Item 2.05, which covers costs associated with exit or disposal activities. Ryan Preblick, its chief financial officer, signed the filing.
The Action Agenda
The current management team, under the oversight of the board, approved an enterprise-wide initiative called the Indivior Action Agenda. It began in the second quarter of 2025 and was first disclosed on July 31, 2025. The company describes it as a three-phase, multi-year operating roadmap. Phase 1, called Generate Momentum, runs through the end of 2025. Its stated focus areas are growing SUBLOCADE in the United States, eliminating all non-essential activities and deciding which investments are needed to speed long-acting injectable penetration in the U.S.
The 8-K says the later phases will be shaped by plans that management will still propose to the board. The filing does not describe those plans.
The charges
The filing splits the charges into three groups, all expected in the third quarter of 2025 unless noted:
- Headcount reductions: pre-tax employee severance and related exit charges of about $16 million to $19 million, mostly in the third quarter.
- Real estate consolidations: pre-tax cash and non-cash asset charges of about $15 million to $22 million, including write-downs of leasehold improvements and fixed assets, and the acceleration of leased property restoration costs.
- Consulting, legal and tax planning: about $8 million to $9 million.
Indivior expects the total of $39 million to $50 million to be recognized in the third and fourth quarters of 2025. Of that, $27 million to $35 million will be cash. The company says the estimates rest on assumptions and that actual expenses may differ materially. It plans to exclude the charges from its non-GAAP measures.
Strategic alternatives
Indivior is also exploring strategic alternatives for OPVEE and for its non-U.S. business. If it divests or restructures those assets, the company says further one-time costs may follow, along with ongoing expense savings. The 8-K does not say what options are being weighed or when a decision is expected.
Why the filing came late
The filing says the company delayed the 8-K until affected employees had been told. It relies on Form 8-K Compliance and Disclosure Interpretation Question 109.02 for that delay.
The debt behind the cuts
The 10-K for 2024, filed March 3, 2025, describes a $350 million Note Purchase Agreement, with Piper Sandler Finance LLC as agent, that matures in November 2030. The company also has a $50 million revolving credit facility under the same agreement. The revolver was undrawn at December 31, 2024.
The report says the note agreement substantially limits Indivior's ability to obtain other financing, apart from that revolver. It says the company believes its cash, investments, operating cash flow and debt will meet its anticipated needs, including litigation settlement payments.
The $27 million to $35 million of cash charges would come from that same cash base. The 8-K does not say how the cash costs will be split across quarters, or how much of the company's cash they would take.
