Incannex Healthcare Inc. (Nasdaq: IXHL) filed a prospectus supplement on July 24, 2025 that increases its at-the-market stock offering program by an aggregate offering price of up to $100,000,000.
In an at-the-market program, a company sells new shares into the open market over time at prevailing prices. Incannex sells through A.G.P./Alliance Global Partners and Curvature Securities LLC as sales agents. The new capacity is in addition to approximately $63,469,250 of common stock already sold under earlier prospectus supplements. The last sale price of the stock was $1.01 per share on July 23, 2025.
The company said it is under no obligation to issue any shares and that any use of the program will depend on market conditions and strategic priorities.
On July 31, 2025, after questions from stockholders, Incannex said it does not presently intend to use the full capacity of the program in the near term. It said it sold approximately 9.2 million shares under the program on July 30, 2025, which it said represented 1.97% of that day's reported trading volume. Before that, it had not used the facility since July 17.
Incannex said it has a cash balance of approximately US$50 million. Chief Executive Officer Joel Latham said the company is "committed to balancing the need to fund our clinical and commercial objectives with the importance of minimising dilution for our shareholders."
