I-MAB (now NovaBridge Biosciences) (Nasdaq: IMAB) filed Amendment No. 1 to its prospectus on July 11, 2025. The amendment raises the maximum amount of American depositary shares, or ADSs, the company may sell under a sales agreement. An ADS is a U.S.-traded certificate that represents shares of a foreign company. Each ten (10) ADSs represent twenty-three (23) ordinary shares.
The company signed the sales agreement with Leerink Partners LLC on May 2, 2025. Under the prospectus dated May 15, 2025, it could sell up to $21,000,000 of ADSs. It has not sold any ADSs under the agreement as of the date of the amendment.
The company says it is no longer subject to General Instruction I.B.5 of Form F-3, a rule that caps how much a smaller company can sell. The cap no longer applies because the market value of ordinary shares, including those represented by ADSs, held by non-affiliates equaled or exceeded $75.0 million as of June 9, 2025.
Under the amendment, the company may offer and sell ADSs with an aggregate offering price of up to $50,000,000. On July 10, 2025, the last reported sale price of the ADSs on Nasdaq was $2.05 per ADS. The ADSs are listed on the Nasdaq Global Market.
