Humacyte, Inc. (Nasdaq: HUMA), based in Durham, North Carolina, said on October 7, 2025 that it had priced an oversubscribed registered direct offering of common stock and warrants. The gross proceeds are estimated at about $60.0 million before the placement agent's fees and other offering expenses. The buyers are described only as certain fundamental institutional investors, and the release does not name any of them.
The offering terms
Humacyte will sell 28,436,018 shares of common stock and warrants to purchase 28,436,018 shares. One share and one warrant sell together for $2.11. The warrants become exercisable 180 days after issuance, carry an exercise price of $2.11 per share and expire on April 7, 2031. The warrants cover as many shares as the stock sold. The offering is expected to close on or about October 8, 2025, subject to customary closing conditions.
D. Boral Capital LLC is the exclusive placement agent. The release names no other bank, advisor or law firm for the deal. The shares and warrants are offered under a Form S-3 shelf registration that the SEC declared effective on September 22, 2025. The release says a prospectus supplement describing the terms will be filed with the SEC. The release does not say how Humacyte plans to use the proceeds, and it does not give the number of shares outstanding before the sale, so the size of the increase in shares cannot be measured from the release.
The product and the trials
Humacyte calls itself a commercial-stage biotechnology platform company. Its lead product, Symvess, an acellular tissue engineered vessel, received full FDA approval on December 19, 2024. The approval covers adults who need a vascular conduit for extremity arterial injury when urgent revascularization is needed to avoid imminent limb loss and an autologous vein graft is not feasible. The company says its U.S. commercial launch began in the first quarter of 2025. For other uses, the release says the vessel is investigational and has not been approved by the FDA or any other regulator.
The annual report for 2024 says the vessel had been implanted in approximately 601 patients as of December 31, 2024. The company says it believes the vessel has the potential to become the standard of care for vascular repair.
The report also describes Phase 3 and Phase 2 trials in arteriovenous access for hemodialysis and in peripheral artery disease. It says a Phase 3 study known as V007 met its co-primary endpoints in July 2024, according to the company's announcement. The business section does not give the endpoint results, so readers have only the company's account of that trial. The company plans a supplemental application for hemodialysis access in the second half of 2026, but only if interim results from the ongoing V012 Phase 3 trial in women support it.
The FDA set an action date of August 10, 2024 for the company's biologics license application, and on August 9, 2024 it told the company that it needed more time. Full approval came in December 2024. The report describes its manufacturing as an 83,000 square foot bioprocessing facility that can make vessels of different diameters and lengths at commercial scale. It also says autologous veins and synthetic grafts have significant limitations, and that synthetic grafts are often contraindicated in vascular trauma because of infection risk.
Money and what comes next
The release gives no cash balance, net loss or cash used in operations. The business section describes products, trials and a facility but gives no cash, loss or burn figures, so the $60.0 million cannot be set against the company's cash position from these documents. The release also gives no revenue figure for Symvess.
The release says the offering is expected to close on or about October 8, 2025, and that the prospectus supplement will be filed. The report gives no date for the interim results from the V012 trial, and the planned supplemental application is tied to the second half of 2026. Until those steps happen, the release leaves the timing of the next regulatory step open, and the offering proceeds have no stated purpose.
