Geron Corporation said on December 16, 2025 that it has begun a strategic restructuring plan that includes a workforce reduction of approximately one-third of its current approximately 260 employees. The company reported the plan in a Form 8-K filed under Item 2.05, the item for costs associated with exit or disposal activities.

What the filing says

Geron says the plan is intended to "position the Company for long-term value creation for patients and shareholders and improve its financial discipline." The Board of Directors unanimously approved the plan on December 10, 2025. The company began implementing it on December 16, 2025, and began notifying affected employees that same day.

The filing calls the headcount cut the "RIF," short for reduction in force. Geron expects the RIF to be substantially complete in the first quarter of 2026.

The expected costs

Geron estimates that it will incur approximately $18 million in restructuring and restructuring-related charges. The filing says the charges consist primarily of one-time employee severance payments, healthcare and related benefits, and other employee-related costs.

The company anticipates that the charges will affect its results of operations during the fourth quarter of 2025 and the first quarter of 2026, and that most of the cash payments will occur through the first quarter of 2026. The restructuring charges are not currently anticipated to include any non-cash charges associated with equity-based compensation or otherwise.

Geron adds that the charges and their timing are subject to a number of estimates and assumptions, and that actual results may differ materially. It may also incur additional costs or charges that it does not currently contemplate, because of events that result from or are associated with the plan.

Debt and cash

The 10-K describes a term loan with investment funds managed by Pharmakon Advisors, LP, with BioPharma Credit PLC as collateral agent. The facility provides up to $250.0 million in three committed tranches. The $125.0 million Tranche A was funded on November 1, 2024, and the $75.0 million Tranche B is available at the company's option, subject to limited conditions. The facility is a five-year, senior secured term loan, and the 10-K names the lenders as investment funds managed by Pharmakon Advisors, LP. Before that, the company's March 2024 public offering produced net cash proceeds of approximately $141.0 million after the underwriting discount and other offering expenses.

About the company

Geron is a Delaware corporation. According to its annual report on Form 10-K filed in February 2025, it has two wholly owned subsidiaries: Geron UK Limited, a United Kingdom company, and Geron Netherlands, B.V., a Dutch company.

That annual report describes RYTELO (imetelstat) as a treatment for certain patients with lower-risk myelodysplastic syndromes, or lower-risk MDS, with transfusion dependent anemia. Among the risks the company listed were whether the European Commission approves RYTELO for that use, its plans to commercialize RYTELO in the European Union, and whether the IMpactMF Phase 3 trial for relapsed/refractory myelofibrosis has a positive outcome. The company also listed whether it can establish and maintain effective sales, marketing and distribution capabilities and obtain adequate coverage and third-party payor reimbursement. It said it may decide to partner rather than commercialize RYTELO independently in the United States or in Europe.

Losses

The 10-K shows a net loss of $174,572 thousand for 2024, against $184,127 thousand for 2023, and an accumulated deficit of approximately $1.8 billion at December 31, 2024. It says that although the company recently began commercializing RYTELO, substantially all of its revenues to date have been payments under prior collaboration agreements, and milestones, royalties and other revenues from licensing arrangements. It also says the company has not reported a profit since 2015. The 8-K does not say which functions are affected or how many employees will remain after the cut.

Who signed the filing

Executive Vice President, Chief Financial Officer and Treasurer Michelle Robertson signed the Form 8-K for Geron Corporation on December 16, 2025.
