The pricing and the terms

GeoVax Labs, Inc. (Nasdaq: GOVX) agreed on July 1, 2025 to sell 9,235,000 common units at $0.65 each in a public offering, and the offering closed on July 2, 2025. Each unit consists of one share of common stock and two common warrants. The 8-K says the deal covers 9,235,000 shares and warrants to buy 18,470,000 more. The warrants are immediately exercisable at $0.65 per share and expire five years from issuance.

GeoVax estimates net proceeds of $5,582,557.50 after placement agent fees and offering expenses, and excluding any money from warrant exercises. The 8-K says the money will go to working capital and general corporate purposes, not to a named program.

Roth Capital Partners, LLC acted as placement agent on a best efforts basis, and the 8-K says it did not buy the securities itself. GeoVax agreed to pay Roth a cash fee of 7.0% of gross proceeds, plus reimbursement of certain expenses and legal fees. Womble Bond Dickinson (US) LLP gave the legality opinion, filed as Exhibit 5.1 to the 8-K. The 8-K does not name counsel for the placement agent.

Dilution and offering conditions

The units were priced at $0.65, against a last reported sale price of $0.87 on the Nasdaq Capital Market on June 30, 2025, according to the prospectus. The warrants could add 18,470,000 shares on exercise, on top of the 9,235,000 shares sold. The 8-K says a holder cannot exercise warrants if the exercise would take its ownership above 9.99% of the outstanding stock.

GeoVax agreed not to issue new shares, or file a new registration statement, for 60 days after closing, subject to exceptions. For six months it agreed not to enter into a variable rate transaction, also subject to exceptions.

The prospectus describes a best efforts offering with no minimum number of securities or dollar amount needed to close. GeoVax may therefore sell fewer than all of the securities offered, and investors would not receive a refund in that case. No escrow account holds investor funds. The prospectus said the offering would end on July 10, 2025 unless terminated, and it closed on July 2.

The business behind the deal

GeoVax's 10-K, filed March 27, 2025, describes a clinical-stage biotechnology company developing human vaccines and immunotherapies against infectious diseases and solid tumor cancers. Its lead clinical program is GEO-CM04S1, a next-generation COVID-19 vaccine. The company has been awarded a BARDA-funded contract to sponsor a 10,000-participant, randomized Phase 2b trial comparing it with a COVID-19 vaccine approved by the U.S. Food and Drug Administration. The 10-K says that study is anticipated to commence in the second half of 2025.

The oncology program, Gedeptin, recently completed a multicenter Phase 1/2 trial in advanced head and neck cancers, and a Phase 2 trial in first recurrent head and neck cancer is planned. The company says a booster vaccine in patients with chronic lymphocytic leukemia "recently demonstrated superior immune responses versus an mRNA vaccine following an interim Data Safety Monitoring Board (DSMB) review". An interim review by a monitoring board is a narrower step than a completed trial.

The company is selling stock at $0.65 while its lead program still depends on a Phase 2b comparison with an approved vaccine. The 8-K ties the money to general purposes rather than to that study. The warrants could add 18,470,000 shares if exercised in full, and the booster result the company cites is an interim review, not a finished comparison.
