GeoVax Labs, Inc. (Nasdaq: GOVX) closed a registered direct offering on February 17, 2026, at $2.31 a share. The company says net proceeds were about $865,000 after the placement agent's fees and offering expenses. H.C. Wainwright & Co., LLC was the exclusive placement agent. The company disclosed the closing in a Form 8-K filed February 17, 2026, and signed by Chief Financial Officer Mark W. Reynolds. The shares were sold under a Form S-3 shelf filed March 1, 2024 and declared effective on March 13, 2024.

Who was paid

The February 13, 2026 purchase agreement covers 402,000 common shares at $2.31 and pre-funded warrants for up to 30,902 shares at $2.30999. In a concurrent private placement, the company offered Series A-1 common warrants for 432,902 shares and Series A-2 common warrants for another 432,902 shares.

H.C. Wainwright & Co. acted under an engagement letter dated January 29, 2026. The company agreed to pay it a cash fee of 7.0% of gross proceeds, up to $35,000 in accountable expenses including legal fees, and $10,000 in clearing fees. The engagement also gives Wainwright a right of first refusal to act as sole book-running manager, underwriter or placement agent for any debt or equity offering for six months after the closing. A tail fee applies to any investor Wainwright contacted or introduced who provides capital within three months after the engagement ends. GeoVax also agreed not to issue new stock or file a registration statement for 30 days after closing, and not to enter into a variable rate transaction for 12 months, subject to exceptions.

Womble Bond Dickinson (US) LLP gave the legal opinion on the securities. No counsel for the agent is named.

The warrants

The Series A-1 and A-2 warrants, issued under Section 4(a)(2) and/or Rule 506(b) of Regulation D, expire five years and two years after stockholder approval. Both become exercisable only on the effective date of that approval, at $2.31 a share. Holders cannot exercise if they would own more than 4.99%, or 9.99% at the purchaser's option, of the common stock. The 8-K gives no date for the stockholder vote.

The 8-K also amends warrants issued July 2, 2025, to two holders. Those warrants covered up to 236,000 shares at $4.35. The company agreed on February 13, 2026, to cut their exercise price to $2.31 and to make them exercisable from the stockholder approval date. The amendment was given in consideration for the two holders' participation in the offering.

Cash and the going concern warning

The company's annual report for 2024 reports a net loss of $24,992,296 for 2024 and net cash used in operating activities of $24,675,511 for that year. For 2023, cash used in operations was $25,173,639. Cash and cash equivalents were $5,506,941 at December 31, 2024. The report says the company received a going concern opinion from its auditors, reflecting substantial doubt about its ability to continue as a going concern.

The 2024 report says the company's ability to continue depends on raising additional capital, and that if it cannot secure financing on acceptable terms it may not meet its obligations as they come due.

Against those figures, $865,000 of net proceeds is small. The 8-K does not say how long the proceeds will fund operations, and it gives no year-end 2025 cash balance.

The science

GeoVax develops vaccines, including GEO-CM04S1, a next-generation COVID-19 candidate built on the modified vaccinia Ankara platform. The 2024 report says a BARDA-funded Phase 2b comparison study of that candidate, with 10,000 participants against an FDA-approved COVID-19 vaccine, was expected to start in the second half of 2025. GEO-MVA, an Mpox and smallpox vaccine, was expected to begin clinical evaluation in 2025. Those were planned trials when the report was filed, and the 8-K reports no trial results.

What comes next

If stockholders approve, the warrants from this deal and the repriced July 2025 warrants all become exercisable at $2.31, which would add shares on top of the 402,000 sold and the 30,902 pre-funded shares. The 8-K gives no share count after the offering and no plan to fund operations beyond the net proceeds.
