The offering and its underwriters
Generate Biomedicines, Inc., based in Somerville, Massachusetts, filed a Form S-1 on February 4, 2026 for an initial public offering of its common stock. It has applied to list the shares on Nasdaq under the proposed symbol GENB, and says the offering is contingent on that listing.
The cover names five underwriters: Goldman Sachs & Co. LLC, Morgan Stanley, Piper Sandler, Guggenheim Securities and Cantor. It does not say which of them is lead or sole book-runner, and it names no placement agent. Goodwin Procter LLP and Latham & Watkins LLP appear under a copies-to heading, and the filing does not say which firm acts for the company and which for the underwriters.
The number of shares and the price range are blank. Up to 5% of the shares will be reserved for certain individuals through a directed share program at the IPO price.
The lead drug
The lead candidate, GB-0895, is an investigational long-acting anti-TSLP antibody for severe asthma, meant to be dosed every six months. Two Phase 3 trials, SOLAIRIA-1 and SOLAIRIA-2, began in December 2025, and the first patient was dosed on January 26, 2026. Full enrollment is expected by the first half of 2028.
The filing leans on lab measures. It says GB-0895 has an estimated twenty-fold improvement in binding affinity over tezepelumab, and that preclinical and Phase 1 data showed favorable safety and a half-life of approximately 98 days. The filing says "We have not completed pivotal clinical trials for any of our product candidates", and that it will be several years, if ever, before a product is ready for sale. No pivotal efficacy result appears in the filing.
A Phase 1b trial in COPD is evaluating safety, tolerability and pharmacokinetics, with data expected in 2026. The company describes its preliminary COPD data as biomarker reductions, which is not clinical benefit data. The next phase depends on those results and on regulatory alignment, the filing says.
Other programs and partners
GB-4362 is an antibody meant to neutralize free MMAE as an add-on to antibody-drug conjugates. GB-5267 is a MUC16-directed CAR-T candidate developed with Roswell Park Comprehensive Cancer Center, aimed first at platinum-resistant ovarian cancer. The FDA cleared investigational new drug applications for both in December 2025.
Amgen agreed a collaboration in December 2021. Generate received a $50.0 million upfront payment in January 2022, a $25.0 million equity investment in October 2023 through Series C preferred stock, and a further $5.0 million upfront payment in December 2023. Novartis is also a partner. The company will acquire Pioneering Medicines 02, Inc., known as PMCo, when the underwriting agreement is signed. That ends the cost-sharing collaborations and creates payment obligations to PMCo's parent based on net sales.
Flagship Pioneering founded the company in 2018 as Flagship VL56, Inc.
The money
The net loss was $223.0 million in 2025, against $181.4 million in 2024. The accumulated deficit reached $676.3 million, up from $473.1 million.
Cash, cash equivalents and marketable securities were $221.5 million at December 31, 2025, down from $393.6 million a year earlier. Management and the independent auditor have concluded there is substantial doubt about the company's ability to continue as a going concern. The company says it will not have enough cash to support operations for at least twelve months from February 4, 2026.
Net proceeds, with existing cash, would fund the two Phase 3 trials, the COPD trial and its next phase, GB-4362 and GB-5267 through topline Phase 1 data, and platform work. The S-1 cannot give a net proceeds figure while the size and price are blank.
Shares outstanding after the offering are based on 155,623,143 shares, after preferred stock converts. A reverse stock split is planned before closing, with the ratio left blank.
What comes next
The company expects COPD data in 2026, first dosing of GB-4362 and GB-5267 in 2026, and the start of Phase 1 trials for two more oncology candidates in 2026. Its filing leaves the size of the raise unset, while it reports $221.5 million of cash and marketable securities against a $223.0 million net loss and a going-concern warning.
