Genelux Corporation (GNLX) agreed on January 8, 2026 to sell 6,666,667 shares of common stock at a public price of $3.00 per share in an underwritten offering, according to a Form 8-K dated the same day. Gross proceeds to the company will be approximately $20.0 million, before underwriting discounts and commissions and estimated offering expenses. The company is selling all of the shares itself. Genelux is based in Westlake Village, California.
The terms and the bank
The underwriter is Lucid Capital Markets, LLC, under an underwriting agreement dated January 8, 2026. The 8-K says the $20.0 million figure assumes no exercise of the underwriter's option to purchase additional shares. It does not give the size of that option, the underwriting discount or the expenses. It also does not say what the company will do with the money, and it names no buyers.
Closing was expected on January 9, 2026, subject to customary closing conditions. The agreement contains customary representations, warranties and indemnification obligations of both the company and the underwriter, including for liabilities under the Securities Act of 1933. Cooley LLP gave the legal opinion on the shares, filed as Exhibit 5.1. The offering is made under an effective Form S-3 shelf registration statement, File No. 333-276847, and a prospectus supplement. Genelux issued one press release on January 7 announcing that it had started the offering, and a second on January 8 announcing the pricing. Thomas Zindrick, the company's president and chief executive officer, signed the 8-K.
The company behind the raise
Genelux describes itself as a late clinical-stage biopharmaceutical company developing oncolytic viral immunotherapies for aggressive or difficult-to-treat solid tumors. Its product candidate Olvi-Vec is a proprietary, modified strain of the vaccinia virus. The company says its treatments are "off-the-shelf" immunotherapies, and says the immune response each patient generates is expected to be specific to that patient's tumor neoantigens. That is the company's expectation, not a result.
The lead program is a Phase 3 trial called OnPrime, testing Olvi-Vec in platinum resistant or refractory ovarian cancer. According to the company's annual report, it began enrolling in the third quarter of 2022. The business description does not report a result from that trial. A second study, the Phase 2 VIRO-25 trial, is open-label, randomized and controlled, and tests Olvi-Vec in recurrent non-small cell lung cancer. It began enrolling in the United States in the fourth quarter of 2024.
Partners and manufacturing
In September 2021 Genelux granted Newsoara BioPharma Co. Ltd. an exclusive license to research, develop and commercialize Olvi-Vec in China, which includes mainland China, Taiwan, Hong Kong and Macau. A co-sponsored Phase 1b/2 trial in recurrent small cell lung cancer is ongoing in China. Newsoara intends to start a Phase 2 VIRO-25 trial there, subject to regulatory authorization from the Chinese Centre for Drug Evaluation, so that trial depends on a decision that has not yet been made.
In January 2019 the company formed V2ACT Therapeutics, LLC, a joint venture with TVAX Biomedical Inc., to develop a product that combines an oncolytic virus with neoantigen-primed adoptive cell therapy. Genelux also runs a current Good Manufacturing Practice facility in San Diego, California, and says it intends to use material from it in later trials of Olvi-Vec and for an initial commercial launch, if the drug is approved.
The cash question
The 8-K gives no cash balance for Genelux. The financial data available for this story show short-term investments of $22.3 million for the end of 2024, reported in a 10-Q filed November 5, 2025. That figure is older than the offering and says nothing about spending since. The new $20.0 million is of a similar size, so the raise is material for a company that is paying for a Phase 3 trial, a Phase 2 trial, a manufacturing site and a joint venture at once.
Selling 6,666,667 shares at $3.00 also adds to the share count, which dilutes existing holders. The 8-K does not give the share count before or after the sale.
