Fulcrum Therapeutics, Inc. (Nasdaq: FULC) approved a restructuring plan on May 31, 2026, that will cut its workforce by about 85%, from 57 full-time employees to 9. The company told staff on June 4, 2026, and said the cuts would be substantially complete during the second quarter of 2026. The plan follows the company's decision to stop developing pociredir for sickle cell disease. Fulcrum disclosed both steps in a Form 8-K filed under Items 2.05 and 8.01.
The charges and the reason
The company expects restructuring charges of about $4.2 million, mostly severance, employee benefits and related costs. It says substantially all of those charges will be paid in cash during the second quarter. It also warns that it may incur more charges or cash costs than now expected.
The 8-K refers to the discontinuation of development of pociredir but gives no reason for that decision, and it does not say whether new data led to the stop. The restructuring is described as a way to significantly reduce operating expenses and preserve capital.
The company's annual report for 2025, filed February 24, 2026, describes pociredir as an oral compound that increases fetal hemoglobin. Its Phase 1b PIONEER trial dosed adults with sickle cell disease at 12 mg and 20 mg once daily for 12 weeks. The company said the trial showed "clinically relevant HbF induction." It said it would give details of the next trial's design in the second quarter of 2026, after receiving minutes from its End-of-Phase meeting with the FDA, and was activating sites for an open-label extension trial. The 8-K now ends that plan.
The study was small, with two dose cohorts and a 12-week treatment period, and the only description of its results is the company's own.
Strategic review
Fulcrum says it has started a comprehensive review of strategic alternatives intended to maximize stockholder value. It has hired Leerink Partners LLC as financial advisor to the board. The alternatives include a merger, acquisition, business combination, sale or licensing of assets, or another strategic transaction.
The company has set no timeline for the review, and it does not plan to give updates until its board approves a course of action, the review ends, or disclosure is otherwise required. It also says there can be no assurance the review will produce any transaction.
Money
The company's annual report for 2025 reports research and development expense of $56.1 million for 2025, down from $63.4 million for 2024. It reports a net loss of $74.9 million for 2025, against $9.7 million for 2024, and an accumulated deficit of $594.3 million at December 31, 2025. The company used $60.1 million in operations in 2025, compared with $2.2 million in 2024.
The pociredir stop came months after a raise. In December 2025, under an underwriting agreement with J.P. Morgan Securities LLC, Leerink Partners LLC and Cantor Fitzgerald & Co., Fulcrum sold 11,851,853 shares at $13.50 each and pre-funded warrants for up to 1,111,193 shares at $13.499 each, for net proceeds of $164.2 million. At the time, pociredir was the company's only product candidate in clinical trials.
The annual report says the company had 66,600,209 shares outstanding as of February 17, 2026. Its market value for non-affiliate shares was $296,079,672 at June 30, 2025.
The 8-K gives no current cash balance and no runway estimate, and it does not say whether the board might return capital to holders.
What comes next
The next step is the strategic review, which has no timetable. With nine full-time employees after the cuts, the 8-K does not say what research, if any, will continue. Alex C. Sapir, President and Chief Executive Officer, signed the 8-K.
