Equillium, Inc. said on October 26, 2026 that the first subject has been dosed in Australia in a Phase 1 trial of EQ504, an investigational oral, colon-targeted aryl hydrocarbon receptor (AhR) modulator. The first dosing is a milestone under the company's August 2025 equity private placement. The 8-K attached to the announcement says the milestone closing was expected later the same day.
The Phase 1 trial and its limits
The trial is randomized, double-blind, placebo-controlled and single-center. It is designed to enroll about 70 healthy subjects who take once-daily oral doses ranging from 0.1 to 3.0 mg. The single ascending dose portion has five sequential cohorts. The multiple ascending dose portion gives once-daily dosing over 10 days across three cohorts. An optional food-effect cohort will test whether food changes EQ504 exposure.
The study measures safety, tolerability, pharmacokinetics and pharmacodynamics. Its biomarker is cytochrome P450 1A1 (CYP1A1) expression in gastrointestinal biopsies, a marker of AhR pathway activation. The company says the trial is designed to give early clinical evidence of target engagement in the gut. The release gives no clinical result for EQ504 in humans, and the first subject has only just been dosed. Topline proof-of-mechanism data are anticipated in the second quarter of 2027.
The trial enrolls healthy volunteers, not patients. The company anticipates starting a placebo-controlled proof-of-concept study in patients with moderately to severely active ulcerative colitis in the second half of 2027, "subject to supportive Phase 1 data." Until those data exist, the ulcerative colitis plan rests on no patient results.
The $20 million tranche
At the milestone closing, investors are expected to buy 14,957,260 shares of common stock at $0.57 per share and 20,130,457 pre-funded warrants at $0.5669 each. The company says the closing brings gross proceeds to approximately $20.0 million and total equity private placement proceeds to approximately $50 million.
The securities were not registered under the Securities Act of 1933. Investors received customary resale registration rights on Form S-3 for the common shares. The release's forward-looking statements list among the risks the timing of the closing, its effect on the stock price and whether Equillium can raise sufficient financing on acceptable terms. They also name receipt of a "Price Threshold Waiver" as part of the expected closing.
The release does not name a placement agent or any counsel for the private placement.
Cash, losses and the 2029 runway
The release says the company expects its cash to be sufficient to fund currently planned operations into 2029, and it ties that statement to the proceeds of the milestone closing. The release does not state a runway without that closing.
The company's annual report, filed in March 2026, reports a net loss of $22.4 million for 2025 and cash used in operations of $22.7 million for that year. The same report gives a net loss of $8.1 million for 2024 and cash used in operations of $19.0 million for that year. The company's quarterly report puts cash and cash equivalents at $57.2 million as of June 30, 2026.
The annual report's risk summary says Equillium has incurred significant losses since its inception, expects significant losses for the foreseeable future and may never achieve or maintain profitability. It also lists the need for substantial additional funding to complete its planned programs.
The annual report names Biocon Limited among the contract service providers the company relies on. Its forward-looking statements name the timing of data from clinical studies among the matters that could differ from the company's expectations.
What the release leaves out
The release does not give the cost of the Phase 1 trial. It says EQ504 has the potential to address unmet medical needs in ulcerative colitis and other serious inflammatory diseases, and it describes the approach as locally acting and non-immunosuppressive. Those claims are the company's own, and the release gives no human data to support them yet.
Equillium's stock trades on the Nasdaq under the symbol EQ. The release describes the company as a biotechnology innovator developing therapies for severe autoimmune and inflammatory disorders.
