Fate Therapeutics, Inc. (Nasdaq: FATE) said on August 12, 2025 that its board approved a corporate restructuring that includes a workforce reduction of approximately 12%. The company disclosed the plan in a Form 8-K filed August 12, 2025 under Item 2.05, the item for costs tied to exit or disposal activities. It says the restructuring is meant to streamline operations, reduce operating expenses and extend its cash runway.
What the filing says
The Board of Directors approved the restructuring on August 7, 2025. Affected employees were informed on August 12, 2025. The company expects the reduction in force to be completed during the third quarter of 2025.
Fate estimates that it will incur charges of approximately $0.9 million to $1.2 million for severance and other employee termination-related costs in the third quarter of 2025. It also says it may incur additional costs it does not currently contemplate. If it later decides it will incur additional significant costs, it says it will amend the 8-K to disclose them.
The same 8-K reports under Item 2.02 that the company issued a press release on its financial results for the quarter ended June 30, 2025. That information was furnished rather than filed. President and Chief Executive Officer Bahram Valamehr, Ph.D., M.B.A. signed the 8-K.
Cash position and runway
The earnings press release filed as Exhibit 99.1 states that the projected operating runway now extends through the end of 2027, with $249 million in cash, cash equivalents, and investments. The company calls this a tactical operations plan that is expected to extend funding of its operations through the end of 2027. It says the plan is intended to allow key clinical and collaboration milestones while keeping enough funds for ongoing operations beyond them.
The release quotes the President and Chief Executive Officer under the name Bob Valamehr, Ph.D., MBA. He said: "Operationally, we have taken proactive steps to optimize our resource allocation and extend our cash runway".
Pipeline and partners
Fate develops off-the-shelf cell therapies made from induced pluripotent stem cells (iPSCs). The release says its FT819 CAR T-cell product candidate is in a Phase 1 trial in moderate-to-severe systemic lupus erythematosus, including lupus nephritis, enrolling at two dose levels, a single dose of 360 million cells and a single dose of 900 million cells. In August the company met with the FDA under the Regenerative Medicine Advanced Therapy designation granted in April 2025, to seek feedback on a registrational study design. The company's stated goal is to start a registrational study in 2026.
In July the FDA allowed the company's investigational new drug application for FT836, a CAR T-cell candidate for advanced solid tumors. The release says its development is supported by a $4 million award from the California Institute of Regenerative Medicine.
Fate also works with Ono Pharmaceutical Co., Ltd. on solid tumor programs, including FT825 / ONO-8250. After a review of the preclinical data package in June, the company and Ono agreed to extend the research term for a second candidate, and Fate expects to keep receiving co-funding from Ono for its preclinical development through at least June 2026.
