Tickers XCUR

Exicure says it needs more time to finish its quarterly report and expects a net loss of approximately $1,827,911 for the quarter. Cash fell to about $2,504,054 by March 31, 2026, and its 10-K already carried a going-concern warning.

Exicure, Inc. (Nasdaq: XCUR) filed a Form NT 10-Q on May 15, 2026, saying it could not finish its quarterly report for the period ended March 31, 2026 by the due date. The company expects to report a net loss of approximately $1,827,911 and cash and cash equivalents of approximately $2,504,054 for the quarter, based on preliminary, unaudited results. The notice is a Form 12b-25 filing.

What the notice says

Rule 12b-25 lets a company that cannot file a periodic report on time say so in writing. Exicure says it cannot, without unreasonable effort or expense, file the 10-Q by May 15 because it needs more time to finalize its financial results and related disclosures. It expects to file within the five-day grace period under Exchange Act Rule 12b-25. Jung Soo Kim, the chief executive officer, signed it.

Because its review is still under way, the company says "there can be no assurance" the figures will not change.

The preliminary numbers

Exicure expects no revenue for the three months ended March 31, 2026, the same as the prior-year quarter, which it attributes to having no revenue-generating operations. It expects a net loss of approximately $1,827,911, against approximately $3,010,000 for the first quarter of 2025. A smaller loss than a year earlier does not mean more cash. Cash and cash equivalents were expected to be approximately $2,504,054 at March 31, 2026, down from approximately $3.7 million at December 31, 2025. The company blames operating expenses, professional fees and personnel costs.

The company's annual report on Form 10-K, filed March 25, 2026, shows a net loss of $4.9 million for 2025, against $9.7 million for 2024. Revenue was $0 in 2025 and $500,000 in 2024. It used $8.6 million in operations in 2025, up from $2.9 million in 2024.

A going-concern warning and a shareholder with a large stake

The 10-K says the financial statements are prepared on the assumption that Exicure will continue as a going concern. It states there is "substantial doubt about our ability to continue as a going concern," and that current liquidity is not sufficient to fund operations at December 31, 2025. The company says it will need substantial additional financing in the very near term. Its risk factors say it may need to seek bankruptcy protection in the near term.

The 10-K says HiTron beneficially owned 25% of the outstanding shares as of March 17, 2026. In 2024 Exicure also sold stock to HiTron and other buyers under purchase agreements.

The GPCR deal and the listing

In January 2025, Exicure bought all of the equity of GPCR Therapeutics USA Inc. from GPCR Therapeutics Inc., a Korean company. The license and collaboration agreement that came with the deal requires Exicure to make milestone payments tied to clinical trials, marketing approvals and net sales, plus royalties. The 10-K says GPCR USA completed a Phase 2 trial in January 2026 in blood cancer patients who are eligible for stem cell transplantation. Its current trial pairs GPC-100 with propranolol for stem cell mobilization in multiple myeloma patients. The filing does not report results from either trial. Exicure intends to pay GPCR a $1,000,000 milestone in its own common stock in the second quarter of 2026.

The 10-K also says the company's Nasdaq listing is at risk. It describes "numerous deficiency notices" over several years. The most recent was on May 21, 2025, when Nasdaq flagged a missed 10-Q for the quarter ended March 31, 2025. The company regained compliance by filing that report on June 27, 2025. The 10-K warns that delisting could hurt the stock price and access to capital.

The company's history is a shrinking one. In September 2022 it cut staff sharply, suspended preclinical work and halted research, and began exploring strategic alternatives. In the third quarter of 2024 it sold its historical biotechnology intellectual property and other assets and recognized other income of $1,500,000. The 10-K says it still explores strategic alternatives.
