ENvue Medical, Inc. entered into a Common Shares Purchase Agreement on August 12, 2026, with an institutional investor. Under the agreement, the company has the right, but not the obligation, to sell up to $50.0 million of its common stock to the investor from time to time. The company disclosed the agreement in a Form 8-K filed the same day under Item 1.01, Entry into a Material Definitive Agreement.

The terms of the facility

The company decides when to sell shares and how many, in its sole discretion. The filing says timing will depend on market conditions, the trading price of the common shares, and the company's decisions about the use of proceeds. The net proceeds depend on how often shares are sold and at what prices.

The company must use 40% of the net proceeds from any sales to redeem its outstanding Series X Preferred Stock until no such shares remain. Any remainder goes to working capital and general corporate purposes.

The investor's obligation to buy does not start on signing. It starts once a registration statement covering the investor's resale of the shares is declared effective by the SEC and a final prospectus is filed. The agreement calls this start point Commencement. From Commencement, the company may direct the investor to buy shares until the first day of the month after a 36-month period. Each purchase price is 90% of the lowest volume weighted average price during the three trading days before the applicable purchase date. After Commencement, the company may terminate the agreement at no cost or penalty on five trading days' prior written notice. The filing describes the registration rights, representations, warranties, conditions and indemnification obligations as customary.

The Series H amendment

On the same day, the company and the investor signed a Second Amendment Agreement to the Series H Purchase Agreement. The original Series H agreement is dated July 18, 2025, and was amended on January 30, 2026. The company first disclosed it in a Form 8-K filed on July 22, 2025. Under that agreement, the company agreed to issue and sell newly designated shares of its Series H Convertible Preferred Stock.

The second amendment increases the total Additional Investment Rights to up to $59,000,000 Stated Value. The filing says this represents 59,000 shares of Preferred Stock and $53,100,000 of Subscription Amount. The investor also agreed to exercise those rights for no less than $10.0 million in the twelve-month period after shareholder approval, with a monthly minimum of $833,333.33 if the rights are not otherwise exercised. The minimum falls dollar for dollar when certain fund-raising events occur. The increase and the minimum both depend on shareholder approval.

Recent financial results

The financial data attached to the filing come from the company's annual report on Form 10-K filed April 15, 2026. For fiscal 2025, the company reported research and development expense of $1.8 million, compared with $909,000 for fiscal 2024. It reported a net loss of $18.2 million for 2025, against $3.7 million for 2024. Cash from operations was negative $9.4 million in 2025 and negative $2.5 million in 2024. Year-end cash and cash equivalents were $752,000 for 2024. The financial data do not state the year-end 2025 cash balance.

Who is involved

Doron Besser, M.D., the chief executive officer, signed the filing. The company is a Delaware corporation with its principal executive offices at 969 Pruitt Ave, Tyler, Texas. The filing does not name the investor. It also does not name a placement agent or underwriter for the facility.

The risks ahead

The facility gives the company access to up to $50.0 million, but sales cannot start until the SEC declares the resale registration statement effective and a final prospectus is filed. Each sale is priced at 90% of the lowest volume weighted average price in the prior three trading days, so shares are issued below market. The filing requires 40% of net proceeds to go to redeeming Series X Preferred Stock. The Series H increase and the monthly minimum both need shareholder approval, and the filing gives no date. The 10-K data show a net loss of $18.2 million and cash from operations of negative $9.4 million for 2025.
