Dermata Therapeutics, Inc. (Nasdaq: DRMA) said on March 27, 2025 that it had agreed with holders of certain outstanding warrants to exercise them immediately. The warrants cover 4,834,470 common shares, with exercise prices of $1.58 and $4.91 a share. The company issued 3,825,138 of them in September 2024 and 1,009,332 in May 2024. The holders will exercise at a reduced price of $1.284 a share, for gross proceeds of about $6.2 million before fees and expenses.

The company's press release, filed as Exhibit 99.1 to a Form 8-K, says closing was expected on or about March 28, 2025. The shares are registered under two Form S-3 registration statements, File Nos. 333-282223 and 333-280682. H.C. Wainwright & Co. is the exclusive financial advisor to Dermata on the transaction. The release names no counsel for the company or the holders.

The company says it will use the net proceeds for general corporate purposes, including research and pre-clinical studies, clinical trials, new biological and pharmaceutical technologies, licensing, acquisitions of other businesses and working capital.

The new warrants

In return for exercising for cash now, the holders receive new unregistered Series A warrants for up to 4,980,806 shares and new Series B warrants for up to 4,688,134 shares. Both carry an exercise price of $1.284 a share and become exercisable only after shareholders approve them. The Series A warrants run for five years from that approval, and the Series B warrants run for 18 months. The release gives no date for the shareholder vote.

The Series A warrants alone cover more shares than the warrants being exercised now. The release's headline says the exercise was priced at-the-market under Nasdaq rules. It describes the new warrants as offered in a private placement under an exemption from registration. Dermata has agreed to file a registration statement covering resale of the shares issuable on exercise of the new warrants, so those shares could reach the market later as well.

The business behind the money

Dermata describes itself as a late-stage medical dermatology company. Its lead candidate, XYNGARI, is a powder of two grams processed from the freshwater sponge Spongilla lacustris, aimed at acne. The company completed enrollment in November 2024 in the first of two planned Phase 3 trials of XYNGARI in moderate-to-severe acne. The annual report expected top-line results from that trial in March 2025. The second Phase 3 trial, which will enroll over 500 patients, is to be followed by an extension study at the FDA's request, covering a 12-month total treatment period.

The annual report cites a Phase 2b study in which the company says it saw a 45% reduction in inflammatory lesions after four treatments, with statistically significant improvements on all three primary endpoints. That is earlier-stage data than the two Phase 3 trials, which the company still has to complete. The report also describes a Phase 1b proof-of-concept trial in psoriasis that showed what the company calls encouraging results. It says further investigation of that use depends on the company's receipt of adequate funding. The release adds a second candidate, DMT410, which uses XYNGARI as a needle-free way to deliver botulinum toxin, and says XYNGARI is also being studied in rosacea.

What the filings leave out

Neither the release nor the business section of the annual report gives a cash balance, a net loss or a cash runway. The $6.2 million in gross proceeds therefore cannot be measured against the company's spending. The release also says nothing about the first Phase 3 trial, whose top-line results the annual report expected in March 2025.
