DBV Technologies S.A. said on March 31, 2025 that it could not file its annual report on Form 10-K for the year ended December 31, 2024 on time.
The French company filed a Form 12b-25 notice of late filing. For an annual report, the notice gives a company 15 extra days.
DBV said it has been working to secure financing through a private placement. The money would fund continued development of its Viaskin Peanut program, the preparation and submission of a Biologics License Application, and launch readiness and commercialization preparation for Viaskin Peanut in the United States. A Biologics License Application is the request for U.S. approval to market a biologic product. The financing was detailed in a Form 8-K filed with the SEC on March 31, 2025.
The company said discussions and negotiations on the financing took a considerable amount of time. It is also assessing how the financing will affect the report's disclosures about whether its liquidity is adequate for the next twelve months. The company said these discussions, negotiations and assessments diverted management time and resources from completing its financial statements.
DBV said its auditors have not yet been able to complete their review. It intends to file the 10-K, along with the audited financial statements, within the 15-day extension period afforded by Rule 12b-25.
