Cyclacel Pharmaceuticals, Inc. (now Bio Green Med Solution, Inc.) told the Securities and Exchange Commission on March 31, 2025 that it could not file its annual report on Form 10-K for the fiscal year ended December 31, 2024 by the due date.

A Form 12b-25, often called an NT filing, tells the SEC that a periodic report will be late. Filing it on time gives a company a short grace period under Rule 12b-25(b). For an annual report, the grace period is fifteen calendar days after the original due date.

Cyclacel said it requires additional time "to gather necessary information for the preparation of such Form 10-K." It said it could not file on time without unreasonable effort or expense. The company said it expects to file the report within fifteen calendar days of the due date.

It said it has filed all other required periodic reports during the preceding 12 months, and it does not expect a significant change in results of operations from the prior year, according to the notice.

The notice lists the company's principal executive office in Kuala Lumpur, Malaysia.
