Cuprina Holdings (Cayman) Limited (Nasdaq: CUPR) said in a press release dated September 29, 2026 that it had closed the sale of an additional 648,373 Class A ordinary shares. The sale followed the full exercise of the underwriter's over-allotment option granted in the company's public offering, which lets the underwriter purchase extra shares at the offering price. The shares were sold at $1.15 each, for about $745,629 of gross proceeds before underwriting discounts and offering expenses.
With this closing, the company has raised aggregate gross proceeds of about $5,716,491. That total includes the public offering gross proceeds of about $4,970,862 announced earlier, all before underwriting discounts, commissions and estimated offering expenses. The offering is made under a Form F-1 registration statement that the U.S. Securities and Exchange Commission declared effective on September 15, 2026.
Advisers named in the release
R. F. Lafferty & Co., Inc. acted as the sole book-running manager for the offering. The release also names Ellenoff Grossman & Schole LLP as U.S. counsel to R. F. Lafferty. The release names Loeb & Loeb LLP as U.S. legal counsel to the company, Lee & Lee as Singapore counsel and Harney Westwood & Riegels Singapore LLP as Cayman Islands counsel. The release gives the underwriter's address and phone number for copies of the prospectus, but it names no financial advisor for the company.
Price against the earlier offering
The price of $1.15 compares with the company's initial public offering in April 2025. The annual report says that offering closed on April 11, 2025, with 3,000,000 Class A shares sold at US$4.00 each. An over-allotment of 450,000 shares closed on May 8, 2025, and the company reported total net proceeds of US$10.85 million after discounts and expenses. R. F. Lafferty was also the representative of the underwriters in that deal. The same annual report says the company spent about US$2.95 million on offering costs in the 2025 IPO.
The release does not explain the price. It gives the $1.15 public offering price and no reason for it, and it does not say whether that price is on the same share basis as the 2025 offering.
Cash, losses and use of proceeds
The annual report filed April 27, 2026 shows a net loss of $3.6 million for 2025, up from $1.1 million in 2024. Cash used in operations was $7.1 million in 2025, against $908,609 in 2024. Year-end cash and cash equivalents were $2.4 million at December 31, 2025, against $85,622 at the end of 2024. Revenue was $38,789 in 2025, compared with $35,522 in 2024. Research and development expense was $176,385 in 2025, against $177,433 in 2024.
The release says the company intends to use the net proceeds for expansion into new businesses, research and development to expand its product offerings, growth into new markets, building brand awareness, investment in equipment and infrastructure, and working capital and general corporate purposes. It gives no split among those uses and no net proceeds figure. The annual report says the earlier IPO money had partly gone to repaying loans from related parties that advanced working capital, so part of the earlier offering money went to related parties.
What the company does
The release describes Cuprina as a Singapore-based biomedical and biotechnology company that develops and commercializes products for chronic wounds, with operations in infertility, medical waste recycling and health and beauty. It says its research allows it to use materials derived from natural origins to develop wound care products in the form of medical devices that meet international standards. The release does not describe any product approval or clinical milestone, and it sets no date for the next step.
