The dividend

Cumberland Pharmaceuticals Inc. (Nasdaq: CPIX) said in a Form 8-K dated July 13, 2026 that its Board of Directors had declared a special cash dividend of $1.50 per share of common stock. The dividend is payable on or about July 31, 2026 to holders of record on July 23, 2026. Cumberland issued a press release on the same day, which it furnished as Exhibit 99.1. The filing does not give the total cost of the dividend or the number of shares outstanding, so the amount leaving the company cannot be measured from it.

The buyback

The board also authorized an open-market share repurchase program of up to $5 million over time. It replaces a program set up in January 2019 that allowed $10 million of repurchases, of which $2.1 million remained available. Management will decide the timing and the number of shares based on stock price, trading volume and market conditions. Several board members will also set up new share purchase plans to increase their holdings. The filing does not size those plans.

Where the cash came from

The 8-K describes the transaction as a Strategic Transaction with Apotex Health Corp., an affiliate of Apotex, Inc., that integrates the two companies' U.S.-branded businesses. Cumberland received $100 million in cash at closing for its line of FDA-approved products. It expects up to $11 million more in payments tied to product inventory and transitional support services.

The 8-K says that after closing, an analysis by the company's tax advisors and refined financial projections showed more net cash from the deal than originally projected. The board then met to assess future cash needs and to "evaluate possible alternatives for the excess capital." The filing does not say what the original projection was, what the cash needs are, or how large the excess is. It also names no investment bank, placement agent or law firm for the dividend or the buyback, and it does not name the tax advisors.

The company's own figures

Financial data from the annual report filed March 9, 2026 show a net loss of $2.8 million for 2025, against $6.5 million for 2024. Research and development expense rose to $5.6 million from $4.8 million. Cash provided by operations was $4.9 million in 2025, after cash used in operations of $612,186 in 2024. Cash and cash equivalents at the end of 2024 were $18.0 million.

The company is returning cash to shareholders after reporting a net loss for 2025 and higher research spending. The 8-K gives no year-end 2025 cash balance and no forecast of cash needs for its pipeline.

The pipeline behind the excess

The annual report describes Phase II programs evaluating ifetroban and says the company submitted a clinical study report to the FDA and began talks about the remaining development requirements. The 8-K's forward-looking statement lists the risks inherent in clinical development, regulatory review and commercialization of ifetroban and other pipeline or CET-supported assets. Neither document puts a dollar figure on those requirements.

What comes next

The stock trades on the NASDAQ Global Select Market under the symbol CPIX. The dividend is payable on or about July 31, 2026. The buyback has no end date in the filing, and the timing of any share purchases is left to management. The filing names no date for the board members' purchase plans.
