Cue Biopharma, Inc. (Nasdaq: CUE) agreed on July 9, 2026 to sell common stock and pre-funded warrants in a private placement that it expects to bring in gross proceeds of about $50.0 million. The company disclosed the deal in a Form 8-K filed July 10, 2026. The sale is expected to close on July 13, 2026, subject to customary closing conditions.

The terms

Cue entered into a securities purchase agreement with accredited investors, including Cormorant Asset Management and Columbia Threadneedle Investments. It agreed to issue 1,418,071 shares of common stock at $33.21 per share. Investors that prefer not to take shares can receive pre-funded warrants for up to 87,500 shares at $33.209 per warrant. Those warrants have an exercise price of $0.001 per share and can be exercised on a cashless basis.

A holder cannot exercise a warrant if that would take its beneficial ownership or voting power above 4.99% or 9.99%, as the holder elects. The holder can raise the cap to no more than 19.99% on 61 days' notice to the company. The press release says the warrants are immediately exercisable and remain exercisable until exercised in full.

Who is advising

The 8-K and press release name Cormorant Asset Management as the lead investor, with additional new funds including Columbia Threadneedle Investments participating. Neither document names a placement agent or company counsel for this placement. The company's 10-K for 2025, filed March 16, 2026, names Jefferies LLC and H.C. Wainwright & Co. in connection with earlier 2025 transactions. The 8-K does not tie either firm to this placement.

Use of proceeds and registration rights

Cue says it intends to use the net proceeds for clinical development and general corporate purposes. It also signed a registration rights agreement dated July 9, 2026. The company must file a registration statement covering resale of the securities within 30 days after closing, and use reasonable best efforts to have it declared effective as promptly as possible. Cue will pay the registration fees and expenses. The securities are sold without registration under the Securities Act of 1933, in reliance on Section 4(a)(2) and Rule 506.

Going concern language

The 8-K's forward-looking statements name risks including Cue's ability to obtain adequate financing to fund its business in the near term and to remediate its current going concern determination. The filing describes that determination as a conclusion that the company does not have sufficient capital on hand to continue operations. The statements also list the company's license agreement with Ascendant Health Sciences, Ltd. and its collaboration with ImmunoScape Pte. Ltd. as relationships it must maintain.

Equity awards to executives

Under Item 5.02, the board granted an aggregate of 1,064,492 restricted stock units on July 9, 2026 to employees and executive officers. The grants carry time and performance-based vesting. Shao-Lee Lin, President and Chief Executive Officer, received 655,074 units. Sumita Ray, Chief Legal and Compliance Officer and Corporate Secretary, received 109,178, and Michael Meluzio, Principal Accounting Officer, received 81,884. Each non-employee director received a one-time grant of 21,800 units that vests in three equal annual installments.

The company is raising money and granting equity to its leadership in the same week, which adds to the dilution a holder of the new shares would bear.

About the company

The press release describes Cue as a clinical stage biopharmaceutical company working toward functional cures for immunological disorders. Its lead asset is a novel anti-IgE antibody in Phase 2 development. Its lead autoimmune candidate, CUE-401, is advancing toward Phase 1. The press release points to data from Ascendant Health's ongoing Phase 2 CSU study in China, expected by the end of the third quarter of 2026.

What comes next

The 8-K sets the closing for July 13, 2026 and the resale registration filing for 30 days after closing. The company's own 10-K for 2025, filed March 16, 2026, says recurring losses raise substantial doubt about its ability to continue as a going concern, and reports cash and cash equivalents of $27.1 million at December 31, 2025, which it expected to last into the first quarter of 2027. The Ascendant data are expected by the end of the third quarter of 2026, which is the next clinical readout the company names.
