The late notice
Cosmos Health Inc. filed a Form 12b-25 notification of late filing on August 15, 2025 for its quarterly report on Form 10-Q for the period ended June 30, 2025. Chief Financial Officer Georgios Terzis signed it. The company was formerly named Cosmos Holdings, Inc., and its principal executive office is at 5 Agiou Georgiou Str, Pilea, Thessaloniki, Greece.
The stated reason is narrow. The company said it could not complete the 10-Q because of delays in obtaining and compiling information to be included in the report, including its XBRL filing. It said those delays could not be eliminated without unreasonable effort and expense. The notice does not say which information was delayed, which subsidiary or system caused the delay, or when the company expects to file.
A Form 12b-25 gives a quarterly report a grace period of five calendar days after the prescribed due date. The company checked the box saying the 10-Q would be filed within that window. It also answered yes when asked whether all other periodic reports for the preceding twelve months had been filed on time.
On results, the company answered no when asked whether it expects any significant change in results of operations from the corresponding period of the last fiscal year. That is the company's own statement. The notice gives no revenue, loss or cash figure, so it does not let a reader test it.
What the company does
The company's 10-K, filed April 15, 2025, says Cosmos Health was incorporated in 2009 in Nevada. It describes a diversified, vertically integrated global healthcare group that owns proprietary pharmaceutical and nutraceutical brands and generics, manufactures and distributes healthcare products, researches innovative medicines and drug repurposing, and operates a telehealth platform.
It says it covers several process phases, including research and development, manufacturing, marketing, sales and distribution. By line, it operates in generic medicines, nutraceuticals, biocides, medical devices, novel oncology drugs, drug repurposing and telehealth services.
The 10-K explains that a generic drug typically may not be marketed until the expiration of applicable patents on the branded product, unless a resolution of patent litigation allows earlier entry, and that generics are sold generally at prices below the branded products. It describes nutraceuticals as products containing at least one dietary ingredient that can be consumed orally, used for purposes such as immune defense, energy, stress, bones and joints.
Strategy and market claims
The 10-K says its main strategy is to keep progressing toward becoming a global healthcare company through a lean, efficient and vertically integrated operating model. It says it intends to expand its own branded nutraceutical and pharmaceutical products, grow its customer base and enhance its manufacturing capacities. It also describes building a multinational network of wholesalers, distributors and pharmacies. For 2024 it names key proprietary brands Sky Premium Life, Mediterranation and C-Sept and C-Scrub, with launches into new fast growing geographical regions.
The filing backs its market case with third-party studies. It cites the global generic drugs market at $424.98 billion in 2024, and a global oncology drugs market valued at USD 201.75 billion in 2023. It cites a drug repurposing market projected to reach USD 30.1 billion by 2028. These are figures for entire industries, not for Cosmos Health, and they do not show that the company earns a profit in any of them.
What the notice leaves out
The notice says nothing about the company's listing status. It gives no cash balance, no debt figure and no explanation of how the XBRL problem arose. Because the company did not quantify anything, the only checkable commitments are the grace-period box it ticked and its statement that it expects no significant change in results.
