Cell Source, Inc. said it is unable to file its Annual Report on Form 10-K for the year ended December 31, 2024 on time without unreasonable effort or expense.

The company filed a Form 12b-25, a notice that gives a company a short grace period for a late report. For an annual report, that period runs to the fifteenth calendar day after the due date.

Cell Source blamed "a delay experienced by the Registrant in completing its financial statements and other disclosures" in the report. It said it is still compiling the information required to complete the filing. The notice refers to the deadline as the March 31, 2024 filing date that applies to smaller reporting companies.

The company said it expects to file the annual report no later than the fifteenth calendar day after the prescribed filing date. It said it has filed all other periodic reports required in the preceding 12 months and does not expect a significant change in results of operations from the last fiscal year, according to the notice.
