What the shelf allows

Bright Minds Biosciences Inc. filed a Form F-3 shelf registration statement with a prospectus dated August 25, 2025. The base prospectus covers up to $250,000,000 of common shares, common share purchase warrants, or units, to be offered from time to time. The shelf does not sell anything by itself. The company says the terms of each offering will be set out in a prospectus supplement, and the document is a preliminary prospectus subject to completion. Attached is an at-the-market, or ATM, supplement covering up to $100,000,000 of common shares. Those shares would be sold under an equity distribution agreement dated August 25, 2025 with Piper Sandler & Co. and Cantor Fitzgerald & Co. The agents act on a commercially reasonable efforts basis and are not required to sell any specific amount. The filing says no funds will be held in escrow, trust or a similar arrangement. The company designates one agent for each placement notice. That agent is paid a commission of 3.0% of the gross sales price per share sold, and the filing says it is deemed an underwriter under the Securities Act. The company has agreed to indemnify the agents against certain liabilities, including those under the Securities Act and the Exchange Act. The $100,000,000 counts toward the $250,000,000, so the ATM does not add to the shelf total.

Shares and what the filing leaves out

The common shares trade on the Nasdaq Capital Market and the Canadian Securities Exchange under the symbol DRUG. The filing gives a Nasdaq closing price of $43.96 on August 22, 2025, and puts the market value of non-affiliate shares at approximately $110,732,998, based on 7,088,639 outstanding common shares. The filing reports no sales under the agreement and gives no expected sale amount. It does not name counsel to the agents. The company's counsel on the registration statement is McMillan LLP of Vancouver. The filing's list of risks includes negative operating cash flow, the need for additional financing, the continued operation of the company as a going concern, and products that are at early stages of development.

The business and its lead program

The company describes itself as a biotechnology company developing treatments for neurological and psychiatric disorders, including epilepsy and depression. Its lead program is BMB-101, a 5-HT2C selective agonist. According to the annual report, Phase 2 trials of BMB-101 began in 2024 in drug-resistant epilepsies, including Developmental and Epileptic Encephalopathies and absence epilepsies. The company says BMB-101 "was demonstrated to be safe and well tolerated at all doses" in Phase 1 studies in healthy volunteers, with no serious adverse events observed. Those studies test safety and dosing, not whether a drug works in patients. The efficacy data cited in the business section come from animal models of Dravet Syndrome and generalized seizures. Two further programs, BMB-201 and BMB-202, are selective 5-HT2A agonists still in IND-enabling studies.

Money

The latest annual figures cover the fiscal year ended September 30, 2024, in a 20-F filed December 31, 2024. The company reported research and development expense of CAD 1.2 million, a net loss of CAD 2.8 million and cash used in operations of CAD 1.9 million. A year earlier those figures were CAD 5.0 million, CAD 7.4 million and CAD 7.0 million. Year-end cash and cash equivalents were CAD 5.7 million, against CAD 6.7 million a year earlier. The shelf filing also records a larger deal after that year end. On November 4, 2024, the company closed a non-brokered private placement of 1,612,902 common shares at $21.70 per share, for gross proceeds of $35,000,000. Because the deal was non-brokered, the filing names no placement agent for it. The placement closed after September 30, 2024, so the year-end cash figure does not include it.
