Boundless Bio, Inc. (Nasdaq: BOLD) has agreed to merge with Serapha Bio, Inc., a privately held company developing a base editing therapy for alpha-1 antitrypsin deficiency (AATD), an inherited disorder that can damage the liver and lungs. The terms are in a Form 8-K filed June 23, 2026. After closing, Serapha's equityholders are expected to own about 96.31% of the combined company on a fully diluted basis, and Boundless's about 3.69%.
What the agreement does
On June 22, 2026, Boundless signed an Agreement and Plan of Merger and Reorganization with Serapha and Boulder Merger Sub Corp., a Boundless subsidiary. Serapha will survive as a wholly owned subsidiary. Its shares convert into Boundless common stock at a ratio set in the agreement, and Boundless options with an exercise price above $8.00 will be cancelled for no consideration. The combined company is expected to be called Serapha Bio, Inc. and to trade on Nasdaq as "AATD." Closing is expected in the fourth quarter of 2026.
The money and its conditions
Serapha has about $230 million of private financing commitments from a syndicate co-led by RA Capital Management and RTW Investments. About $138 million was invested in a Series A preferred round, and the other $92 million is a pre-closing private placement expected to close alongside the merger. The merger cannot close unless Serapha has received at least $200 million in gross cash proceeds under that purchase agreement.
Other conditions include approval by both companies' stockholders, Nasdaq approval of the listing application, an effective Form S-4, and the YolTech license remaining in force. Boundless holders must also approve a reverse stock split at a ratio not yet agreed and an increase in authorized shares to a number Serapha will set.
The release says the combined company's cash at closing should fund operations into the second half of 2029, an estimate that assumes the deal closes.
Cash to Boundless holders
Before closing, Boundless may pay a cash dividend equal to its estimate of its net cash above zero. The release puts that at $44 million to $48 million, subject to adjustment.
Boundless's 10-K filed March 9, 2026 reports a 2025 net loss of $58.2 million and cash used in operations of $46.7 million.
Termination fees of $1,000,000 run in both directions, including one Serapha could owe if its board withdraws its recommendation.
A program that ended
Boundless calls itself a clinical-stage oncology company working on extrachromosomal DNA, or ecDNA, therapies. Its president and chief executive, Zachary Hornby, said in the release: "the early clinical data for BBI-940 did not support continuing to advance this program." The 8-K gives the reason: preliminary exposure data from the early dose escalation cohorts of the KOMODO-1 clinical trial showed that human oral bioavailability of BBI-940 was significantly lower than predicted from preclinical studies. The company announced a workforce reduction of approximately 75% and expects one-time costs of approximately $3.0 million to $5.0 million, mostly termination benefits. The 8-K does not give the number of employees affected. Hornby leaves as chief executive and director effective July 1, 2026, and Jessica Oien, the chief legal officer, becomes president and principal executive officer.
Serapha's lead asset
SERP-01 is an investigational in vivo base editing therapy for AATD, most often caused by the SERPINA1 E342K mutation. Serapha licensed it in June 2026 from YolTech Therapeutics Co., Ltd., which developed it in Greater China as YOLT-202. Serapha gave YolTech an upfront cash payment and a minority equity stake, and the 8-K and release do not give either amount. YolTech may receive regulatory and commercial milestones totaling over $2 billion, plus royalties.
The release describes SERP-01 results as early clinical, proof-of-concept data "demonstrating restoration of serum AAT to normal levels." It gives no patient numbers, endpoints or safety results. YolTech has been enrolling AATD patients in an investigator-initiated trial at Renji Hospital in Shanghai. The release also calls it potentially best-in-class, with no comparison.
Advisers and risks
Lucid Capital Markets is Boundless's exclusive financial advisor, and Latham & Watkins LLP is its counsel. Wedbush Securities Inc. is Serapha's exclusive financial advisor. The release also says the combined company will continue to require substantial additional funding.
