BioXcel Therapeutics, Inc., whose common stock trades on the Nasdaq Capital Market under BTAI, and its subsidiaries OnkosXcel Therapeutics, LLC and OnkosXcel Employee Holdings, LLC filed voluntary Chapter 11 petitions on August 27, 2026 in the U.S. Bankruptcy Court for the District of Delaware. The same day the company signed an agreement to sell substantially all of its assets to Teva Pharmaceuticals International GmbH, with Teva acting as stalking horse bidder. Teva Pharmaceutical Industries Limited, of Israel, is named as guarantor of Teva's milestone obligations. The debtors asked that the cases be jointly administered under the caption In re BioXcel Therapeutics, Inc., et al.
Under the agreement, Teva would pay $57.5 million in upfront cash, assume specified liabilities and pay up to $67.5 million of contingent development milestones. Those milestones are tied to the outcome and timing of the pending supplemental new drug application for IGALMI for at-home use. Depending on approval timing, the company could also receive up to $20 million of commercial milestones once net sales reach set thresholds after closing.
A stalking horse bid sets the floor in a court-run auction. Teva's offer would serve as the minimum bid, and other bidders may top it. The sale is subject to a court order approving the bidding procedures and Teva's designation, and either side can terminate if the deal does not close by October 30, 2026.
Financing the case
The company said it would seek court approval of debtor-in-possession financing from affiliates of Oaktree Capital Management, L.P. and the Qatar Investment Authority. Both groups already lent to BioXcel under a credit agreement dated April 19, 2022. The facility, as described in the August 27 filing, has up to $19 million of new money, available in two draws of up to $9.5 million each, and up to $58.25 million of roll-up loans that convert prepetition debt into DIP debt dollar for dollar.
The roll-up means most of the new facility is existing lender debt moved into the court-supervised case. The filing does not say what new cash the company would have beyond the $19 million.
Lenders and the going-concern warning
BioXcel's quarterly report for the period ended June 30, 2026, already carried going-concern language. It states that the company has conditions and events that raise substantial doubt about its ability to continue as a going concern. It reports total debt of $107,152 thousand at June 30.
The lenders had set repeated deadlines for a sale, repayment or other capital transaction. Under an earlier amendment, the company was required to sign definitive agreements for such a transaction by August 10, 2026.
On August 27 the company also appointed Samir Saleem as chief restructuring officer. He reports to a Strategic Process Committee of the board, which the prepetition credit agreement set up to oversee any sale, restructuring or other material transaction.
What the price leaves out
The upfront amount is below the $107,152 thousand of total debt at June 30. The development milestones are contingent, and they depend on one pending application. The FDA assigned a PDUFA target action date of November 14, 2026 for that application, which covers IGALMI for at-home use in the acute treatment of agitation associated with bipolar disorders or schizophrenia. The company's own description of the at-home trial data calls its efficacy results exploratory.
The August 27 filing does not say what common stockholders would receive from the sale, if anything.
What to watch
The first item is the court's ruling on the bidding procedures and any auction or sale order. The company points to a case website run by Stretto, a bankruptcy claims agent, for court documents. Teva's outside date is October 30, 2026. The FDA action date for the at-home application is November 14, 2026.
