Biodexa Pharmaceuticals plc announced on December 18, 2025 the pricing of a best efforts public offering of 157,000 units and 2,891,781 pre-funded units. Best efforts means the placement agent tries to sell the securities but does not guarantee that any minimum will be raised. The registration statement was declared effective on December 17, 2025, and the company said it expected the offering to close on December 19, 2025, subject to customary closing conditions.
Terms and warrants
Each unit holds one American Depositary Share, or ADS, which represents 100,000 ordinary shares, and two Series L warrants, each to buy one ADS. Each pre-funded unit holds one pre-funded warrant to buy one ADS and two Series L warrants. The combined public offering price is $3.28 per unit and $3.2799 per pre-funded unit.
Each Series L warrant is immediately exercisable at $3.28 per ADS and expires on the five-year anniversary of issuance. The Series L warrants underlie 6,097,562 ADSs, and the prospectus registers 152,439 ADSs underlying the placement agent warrants. The prospectus says the combined price was set through negotiation between the company and the placement agent, and may be at a discount to the current market price. The last reported sale price of the ADSs on the Nasdaq Capital Market was $6.50 on December 16, 2025, well above the $3.28 combined price.
The company has repeatedly changed its ADS ratio to meet Nasdaq's minimum bid price requirement. On October 4, 2024 it moved from 400 to 10,000 ordinary shares per ADS, and on July 31, 2025 from 10,000 to 100,000.
Proceeds and dilution
The company expects aggregate gross proceeds, before placement agent fees and other offering expenses, of approximately $10 million. The prospectus table shows a total public offering price of $10,000,001, placement agent fees of $700,000 and proceeds before expenses of $9,300,001. It estimates net proceeds of approximately $8.75 million after fees and offering expenses, assuming all units sell and excluding any cash from warrant exercises.
The company intends to use the net proceeds for its development programs, working capital and other general corporate purposes. Pending other uses, it will invest them in short-term, interest-bearing investments.
The prospectus gives dilution figures as of June 30, 2025. It says that, as adjusted for the offering, net tangible book value would be approximately $17.06 million, or $4.57 per Depositary Share. It says existing shareholders would face an immediate decrease in net tangible book value of $7.62 per Depositary Share.
Placement agent and counsel
Maxim Group LLC is the sole placement agent, as the prospectus cover states. The company will pay Maxim a cash fee equal to 7.0% of aggregate gross proceeds, reimburse certain offering expenses, and sell Maxim placement agent warrants covering 5.0% of the units and pre-funded units offered. JPMorgan Chase Bank, N.A. is the depositary.
The press release names no counsel for the company or for Maxim. It gives Maxim's New York address for copies of the prospectus.
The company and its cash
Biodexa describes itself as a clinical stage biopharmaceutical company. Its eRapa program, a rapamycin formulation licensed in April 2024 from Emtora Biosciences, is in a Phase 2 study in non-muscle invasive bladder cancer. The annual report filed in April 2025 said results were scheduled for mid-2025.
As of September 30, 2025, the company had cash and cash equivalents of £2.79 million. That figure is unaudited. The auditor's report on the 2024 financial statements, from PKF Littlejohn LLP, contains an explanatory paragraph about the company's ability to continue as a going concern.
