Biodexa Pharmaceuticals plans offering of up to 3,377,110 ADS-and-warrant units
Tickers BDRX
The best efforts sale would pair each ADS with a Series L warrant whose exercise price resets after issue. The company says it will likely receive no additional cash when those warrants are exercised.

Biodexa Pharmaceuticals plc filed a registration statement on Form F-1 on November 17, 2025, for a best efforts public offering of up to 3,377,110 units. Best efforts means the placement agent tries to sell the units but does not guarantee that any amount will sell. The prospectus says no minimum amount must be sold, so the company may not raise the capital its plans require.
What investors would buy
Each unit has one American Depositary Share, or ADS, and one Series L warrant to buy one ADS. Each ADS represents 100,000 ordinary shares. Investors may instead take pre-funded units, which pair a pre-funded warrant with the same Series L warrant.
The prospectus assumes a combined price of $5.33 per unit, based on the Nasdaq Capital Market close on November 12, 2025. It says the actual price will be set through negotiation with the placement agent and may be at a discount to the market price. At that assumed price, and if every unit sells, the company estimates net proceeds of approximately $15.5 million.
Warrants that reset
Each Series L warrant is exercisable immediately at 225% of the public offering price and expires two and a half years after issuance. For 90 calendar days, holders may use a zero cash exercise price option. Under it, a holder receives ADSs without paying cash, in a number equal to two times what a cash exercise would produce. The company says that at the floor price a holder could receive up to 15 ADSs for no cash, so it expects no further funds.
The exercise price also resets on set trading days. On the fifth trading day it moves to the lower of its current level and the greater of 80% of the lowest daily volume weighted average price in the period and 50% of the latest Nasdaq official closing price. A second reset on the 10th trading day uses 30% of that closing price as the floor. As the price falls, each warrant covers more ADSs, so the aggregate exercise price stays unchanged. The prospectus registers up to 50,656,650 ADSs underlying the Series L warrants, far more than the 3,377,110 units offered.
Placement agent, fees and counsel
Maxim Group LLC is the exclusive placement agent. The company will pay Maxim a cash fee of 7.0% of aggregate gross proceeds, reimburse certain offering expenses, and pay a non-accountable expense allowance of up to 1.0% of gross proceeds. It will also sell Maxim placement agent warrants covering 5.0% of the units offered. The prospectus registers up to 2,532,825 ADSs underlying those warrants. JPMorgan Chase Bank, N.A. is the depositary.
Two firms appear on the cover under "copies to": Mintz, Levin, Cohn, Ferris, Glovsky & Popeo, P.C. of Boston, with Jason S. McCaffrey, and Thompson Hine LLP of New York, with Faith L. Charles. The cover does not say which firm acts for whom.
Listing and dilution risk
The prospectus warns that the offering may cause an immediate trading halt or delisting from Nasdaq due to public interest concerns, citing Nasdaq Listing Rule 5101. The ADS ratio has changed repeatedly. In July 2023 and again in October 2024, the company changed the number of ordinary shares per ADS to meet Nasdaq's minimum bid price requirement. On July 31, 2025, the ratio moved from 10,000 to 100,000 ordinary shares per ADS.
As of June 30, 2025, there were 61,952,308,922 ordinary shares outstanding. The prospectus says that if all the ordinary shares represented by the depositary shares offered had been outstanding that day, they would have represented approximately 98.9% of the total.
The business and the cash
Biodexa describes itself as a clinical stage biopharmaceutical company. It licensed eRapa, a rapamycin formulation, in April 2024, and the annual report filed in April 2025 said a Phase 2 study of eRapa in non-muscle invasive bladder cancer was scheduled to report results in mid-2025. This prospectus says that study is ongoing.
As of September 30, 2025, the company had cash and cash equivalents of £2.79 million. That figure is unaudited. The auditor's report on the 2024 financial statements, from PKF Littlejohn LLP, contains an explanatory paragraph about the company's ability to continue as a going concern.
