Azitra, Inc. said on August 21, 2026, that NYSE American had confirmed in writing that the company has regained compliance with all of the continued listing standards set forth in Part 10 of the NYSE American Company Guide. The company reported the notice in a press release filed as Exhibit 99.1 to a Form 8-K.
The notice
The confirmation came in a letter dated August 19, 2026, from NYSE Regulation. The letter told Azitra that it had resolved the continued listing deficiencies it had previously disclosed under Sections 1003(a)(ii) and 1003(a)(iii) of the Company Guide. As a result, the "below compliance" indicator, which marks noncompliant issuers, will no longer be disseminated, and Azitra will be removed from the list of NYSE American noncompliant issuers on the exchange's website.
Chief Executive Officer Francisco Salva said, "We are pleased to have resolved this matter and regained full compliance with the NYSE American continued listing standards." He added that the company remains focused on building momentum across its pipeline.
What remains under watch
The company will remain subject to NYSE Regulation's continued listing monitoring procedures. The release also explains the follow-on rule. Under Section 1009(h) of the Company Guide, if Azitra is again found below any of the continued listing standards within 12 months of the date of the letter, NYSE American will examine the relationship between the two incidents of noncompliance and re-evaluate the company's method of financial recovery from the first. The exchange could then shorten the compliance procedures or immediately begin delisting proceedings.
The release says the company remains committed to maintaining strong financial discipline and governance going forward. The letter is dated two days before the release, and the release describes the matter as resolved. It does not describe any new deficiency or any new notice from the exchange.
The company
Azitra describes itself as a clinical-stage biopharmaceutical company focused on innovative therapies for precision dermatology and on novel products across therapeutics, cosmeceuticals and biotechnology applications. Its portfolio includes ATR-COSF, a recombinant protein technology for cosmetic and skincare applications, and ATR-04, an investigational live biotherapeutic. The company says ATR-04 has Fast Track designation from the FDA for EGFR inhibitor-associated rash, which affects approximately 150,000 people in the United States.
The company's annual report on Form 10-K, filed February 27, 2026, says Azitra has not commenced commercial operations.
Financial position
For 2025, Azitra reported no revenue, compared with $7,500 in 2024. Research and development expense was $4.8 million in 2025 and $4.7 million in 2024. The net loss was $11.0 million in 2025, against $9.0 million in 2024. Cash from operations was negative $11.2 million in 2025 and negative $10.2 million in 2024.
Cash and cash equivalents were $2.1 million at the end of 2025 and $4.6 million at the end of 2024. The company's quarterly report filed August 12, 2026, reports cash and cash equivalents of $6.7 million at June 30, 2026.
What comes next
Regaining compliance does not show the business has improved. The release does not say how the company cured the deficiencies, and the 8-K gives no figures for them. The company reported no revenue for 2025, a net loss of $11.0 million and cash used in operations of $11.2 million, and cash and cash equivalents were $6.7 million at June 30, 2026. If Azitra is again found below any standard within 12 months of the August 19, 2026 letter, the exchange can re-evaluate the company's method of financial recovery and may shorten the compliance procedures or begin delisting proceedings at once. The company stays under NYSE Regulation's continued listing monitoring.
