The pricing
Attovia Therapeutics, Inc. priced its initial public offering at $17.00 per share, according to a prospectus dated August 4, 2026 and filed under Rule 424(b)(4) on August 5, 2026. The company is offering 17,000,000 shares of common stock, a total of $289,000,000. The shares have been approved for listing on the Nasdaq Global Market under the symbol ATTO. The company describes itself as an emerging growth company and a smaller reporting company.
Underwriting discounts and commissions are $1.19 a share, or $20,230,000 in total, which leaves $15.81 a share, or $268,770,000, in proceeds before expenses. The prospectus estimates net proceeds of approximately $265.1 million, or approximately $305.4 million if the underwriters exercise their option in full. The underwriters have 30 days to buy up to 2,550,000 more shares, solely to cover over-allotments. They expect to deliver the shares on August 6, 2026.
After the offering, 43,029,017 shares will be outstanding, or 45,579,017 if the option is exercised in full.
The banks
The prospectus names Morgan Stanley, Leerink Partners, Citigroup, RBC Capital Markets and LifeSci Capital as the underwriters.
The underwriting discounts exclude consulting fees paid to LifeSci Consulting, LLC, which the prospectus describes as an affiliate of LifeSci Capital LLC and says are unrelated to this offering. The prospectus also cites reports the company commissioned from LifeSci Consulting in 2025 and 2026 in support of statements about its platform. LifeSci Capital is one of the underwriters, so an underwriter's affiliate also produced the reports the company relies on.
The company and its pipeline
Attovia describes itself as a clinical-stage biopharmaceutical company developing next-generation biotherapeutics for immune-mediated diseases with high unmet need. Its candidates are built on the ATTOBODY biparatopic biologics platform, which it in-licensed from Alamar Biosciences, Inc. The company says it has nominated three product candidates within its first two years.
The lead candidate, ATTO-1310, is an ATTOBODY-based Fc-fusion protein that inhibits interleukin-31, or IL-31. It completed dosing in a Phase 1 trial in healthy volunteers and patients in the first quarter of 2026, and it is in a Phase 1 trial in patients with chronic pruritus and high-itch atopic dermatitis.
ATTO-2306, a bispecific targeting IL-13 and IL-31, is in IND-enabling studies, with a Phase 1 trial expected to start in the first half of 2027. ATTO-1091, a trispecific that blocks TL1A, IL-23 and integrin alpha 4 beta 7 at the same time, is also in IND-enabling studies, with a Phase 1 trial planned for the first half of 2027, subject to IND clearance.
Money raised and lost
As of March 31, 2026, the company had received $255.8 million in gross proceeds from its redeemable convertible preferred stock and $0.5 million from sales of its common stock and option exercises. Its net loss was $60,627 thousand in 2025, up from $39,801 thousand in 2024. Research and development expense was $54,153 thousand in 2025, against $33,864 thousand in 2024. The net loss for the first quarter of 2026 was $18,656 thousand, compared with $15,151 thousand in the first quarter of 2025.
The prospectus gives a preliminary figure of approximately $115.1 million in cash, cash equivalents and marketable securities as of June 30, 2026. The company says that estimate is preliminary, unaudited, subject to quarter-end financial close, and may change. PricewaterhouseCoopers LLP has not audited, reviewed, examined or compiled that preliminary data and expresses no opinion on it.
What the prospectus leaves open
The prospectus does not say how long the company's cash, including the proceeds of this offering, would last at its current spending. It gives no runway estimate. The June 30 figure is unaudited, and the main programs are still in early clinical testing or in IND-enabling studies.
