The filing

Attovia Therapeutics, Inc., a Delaware company with its principal office at 1091 Industrial Road in San Carlos, California, filed a registration statement on Form S-1 on July 14, 2026 for an initial public offering of its common stock. The prospectus says there has been no public market for the shares. The company has applied to list the stock on the Nasdaq Global Market under the symbol ATTO, and the offering is contingent on that listing.

The cover leaves the number of shares and the price range blank.

Underwriters and counsel

The cover names Morgan Stanley, Leerink Partners, Citigroup, RBC Capital Markets and LifeSci Capital as the underwriters. The company has granted the underwriters an option for 30 days to buy additional shares solely to cover over-allotments, if any.

The cover lists Fenwick & West LLP and Cooley LLP as recipients of copies, in that order. The cover does not say which firm represents the company and which the underwriters.

The prospectus also refers to reports commissioned by LifeSci Consulting, an affiliate of LifeSci Capital LLC, in 2025 and 2026. LifeSci Capital is one of the named underwriters, so the reports come from an affiliate of an underwriter.

The platform and pipeline

Attovia describes itself as a clinical-stage biopharmaceutical company developing next-generation biotherapeutics for immune-mediated diseases. Its products are built on its ATTOBODY biparatopic biologics platform, which it in-licensed from Alamar Biosciences, Inc. The company says it has nominated three product candidates in its first two years.

The lead candidate, ATTO-1310, is an Fc-fusion protein that inhibits interleukin-31, or IL-31. The company says it completed dosing in a Phase 1 trial in healthy volunteers and patients in the first quarter of 2026, and that it is in a Phase 1 trial in patients with chronic pruritus and high-itch atopic dermatitis.

ATTO-2306, a bispecific targeting IL-13 and IL-31, is in IND-enabling studies, and the company expects to start a Phase 1 trial in the first half of 2027. ATTO-1091, a trispecific that blocks TL1A, IL-23 and integrin alpha 4 beta 7 at the same time, is also in IND-enabling studies, with a Phase 1 trial planned for the first half of 2027, subject to IND clearance.

Losses and cash

The company's net loss rose to $60,627 thousand in 2025 from $39,801 thousand in 2024. Research and development expense was $54,153 thousand in 2025, against $33,864 thousand a year earlier. General and administrative expense was $14,356 thousand in 2025, against $7,689 thousand in 2024.

Revenue was a collaboration revenue of $1,350 thousand in 2025, and nothing in 2024. Interest income was $6,627 thousand in 2025. In the first quarter of 2026, the net loss was $18,656 thousand, against $15,151 thousand in the same quarter of 2025, and research and development expense was $16,746 thousand, up from $11,856 thousand.

The filing says the company has raised $255.8 million since its inception as of March 31, 2026, from life science investors including current holders of 5% or more: Deep Track Capital, Frazier Life Sciences, Goldman Sachs Alternatives and venBio. The filing also carries a preliminary, unaudited estimate of cash, cash equivalents and marketable securities at June 30, 2026, but the dollar amount is blank.

What the blanks leave open

Several figures are blank in this filing: the offering size, the price range, the net proceeds and the June 30 cash balance. The filing also refers to a reverse stock split whose ratio and date are left blank. It gives no runway estimate, so these figures do not show how long the company's cash would last.
