Anavex Life Sciences Corp. (Nasdaq: AVXL) filed a Form NT 10-Q, a notification of late filing under Rule 12b-25, on August 10, 2026. The notice says the company cannot file its quarterly report for the period ended June 30, 2026, by the August 10 due date without unreasonable effort and expense.

The reason given

The notice ties the delay to the termination of Dr. Christopher Missling as chief executive officer. A special committee of independent directors ended his employment on April 30, 2026, "for, among other things, conduct that the Special Committee believed was inconsistent with Company Policy." The company says it disclosed that decision in a Form 8-K filed on May 6, 2026. On May 4, 2026, the same committee appointed Dr. Terrie Kellmeyer as interim chief executive officer.

The company and its advisers need more time to prepare and review the quarterly report, including in light of the special committee's review of certain matters related to Dr. Missling's termination. The notice says the committee and the company continue to work to complete that review so the report can be filed. It does not give a date for filing.

The other report

Asked whether all other required periodic reports for the past 12 months have been filed, the company answered no. The notice identifies one: the quarterly report for the fiscal quarter ended March 31, 2026. Together with the June report, that leaves two quarterly reports unfiled.

The company also answered no to whether it expects a significant change in results of operations from the corresponding period of the last fiscal year. The notice gives no figures for cash, losses or revenue, and it does not mention Nasdaq or any listing notice.

What the company does

The annual report filed on November 25, 2025 describes Anavex as a clinical-stage biopharmaceutical company applying precision medicine to diseases of the central nervous system. It uses genomic data from clinical trials to identify biomarkers. Its focus includes Alzheimer's disease, Parkinson's disease, schizophrenia, neurodevelopmental and neurodegenerative conditions, and rare diseases including Rett syndrome.

The report says the pipeline includes ANAVEX 2-73 in three clinical trial indications and ANAVEX 3-71 in one clinical trial. ANAVEX 2-73, also called blarcamesine, is a SIGMAR1 agonist. The report says it is being developed as an oral once-daily capsule for Alzheimer's and Parkinson's disease, and as an oral liquid once-daily formulation for rare diseases such as Rett syndrome and Fragile X.

The Alzheimer's data

The report says Anavex completed a Phase 2a trial of ANAVEX 2-73 in mild-to-moderate Alzheimer's patients in November 2016. The trial ran 57 weeks in Australia and was open-label, with 32 patients. It was designed to assess safety and exploratory efficacy. The company says the randomized trial met both its primary and secondary endpoints. The report also says the trial "appeared to show" that activity was enhanced by an active metabolite, ANAVEX19-144. Those efficacy measures are described as exploratory cognitive and functional scores and biomarker signals of brain activity.

Patients who completed the 52-week Part B have received extended treatment, and the company says the cumulative safety data cover five years. In August 2020, patients who completed those extensions were granted continued access through Australia's compassionate use Special Access Scheme.

The genomic work covered more than 33,000 genes, analyzed with what the report calls a machine learning and artificial intelligence system. The analysis identified genetic variants that affected response to ANAVEX 2-73, including variants in SIGMAR1, the drug's target.

Where that leaves the record

The annual report describes the Alzheimer's efficacy measures for ANAVEX 2-73 as exploratory, from an open-label study of 32 patients. The notice filed on August 10 adds that the company still has two quarterly reports outstanding, and that the review of its former chief executive's termination is not finished.
