- ANAVEX LIFE SCIENCES CORP. Form NT 10-Q filed August 10, 2026 (SEC EDGAR)

Anavex Life Sciences Corp. (Nasdaq: AVXL) said it cannot file its quarterly report for the period ended June 30, 2026 on time. In a Form NT 10-Q filed August 10, 2026, the company said it needs more time for the report, including because of a special board committee's review of matters tied to the termination of its former chief executive. An NT 10-Q is a notice of late filing that a company files when it will miss the due date for a quarterly report.
What the filing says
Anavex told the SEC it is unable to file its Form 10-Q for the fiscal quarter ended June 30, 2026 by the prescribed due date of August 10, 2026 "without unreasonable effort and expense." The company says it and its advisors need additional time to prepare and review the report. That includes time because of the Special Committee's review of certain matters related to the termination of Dr. Christopher Missling.
The filing says the Special Committee and the company "continue to work diligently" to finish their work so the report can be filed.
The change in chief executive
The notice recalls a Form 8-K the company filed on May 6, 2026. It says a special committee of independent directors of the Board of Directors terminated the employment of Dr. Christopher Missling as Chief Executive Officer on April 30, 2026. The reasons given were, among other things, conduct that the Special Committee believed was inconsistent with Company Policy. On May 4, 2026, the Special Committee appointed Dr. Terrie Kellmeyer as Interim Chief Executive Officer.
Missling had signed the company's annual report on Form 10-K filed November 25, 2025, as Chief Executive Officer (Principal Executive Officer) and as a director.
An earlier report is also outstanding
In Part IV of the form, the company answered no when asked whether all other periodic reports required over the preceding 12 months had been filed. It identified the Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2026 as the report not yet filed. That earlier quarterly report was still outstanding when the notice was filed.
The box in Part II for relief under Rule 12b-25(b), which covers a quarterly report filed on or before the fifth calendar day after its due date, is not checked. The company also answered no when asked whether it anticipates any significant change in results of operations from the corresponding period of the last fiscal year to be reflected in the report.
Who signed and who to contact
Sandra Boenisch, CPA, CGA, Principal Financial Officer and Treasurer, signed the notice on August 10, 2026. She is also listed as the contact person for the notification. Her name appears on the company's annual report signature page, where she is listed as Principal Financial Officer and Treasurer (Principal Accounting Officer).
The same signature page lists Jiong Ma, PhD as Director, Chair, and Claus van der Velden, PhD, Athanasios Skarpelos, Steffen Thomas, PhD and Peter Donhauser, D.O. as directors.
About the company
Anavex describes itself in its annual report as a clinical stage biopharmaceutical company that applies precision medicine to central nervous system diseases with high unmet need. It analyzes genomic data from clinical trials to identify biomarkers. Its stated focus is treatments for Alzheimer's disease, Parkinson's disease, schizophrenia, neurodevelopmental, neurodegenerative and rare diseases, including Rett syndrome.
The pipeline includes ANAVEX 2-73, which the report says is in three clinical trial indications, and ANAVEX 3-71, in one clinical trial. The company says its compounds vary in sigma-1 receptor binding activities. It reports that, working with Stanford University, it ran a quantitative positron emission tomography imaging scan in mice that showed dose-dependent target engagement of ANAVEX 2-73 (blarcamesine) with the receptor in the brain.
The company lists its principal executive office at 630 5th Avenue, 20th Floor, New York, NY 10111.
What the notice cautions
The notice carries a forward-looking statements section. Anavex says one risk is that it may take longer to complete and file the Form 10-Q than it currently anticipates.
