Anavex Life Sciences files late-filing notice for 10-Q after CEO termination

Tickers AVXL

Anavex Life Sciences told the SEC on May 11, 2026 that it cannot file its first-quarter 10-Q on time. The delay follows the April 30 termination of CEO Christopher Missling, and the company says the review of that termination may take longer than it expects.

Anavex Life Sciences Corp. (Nasdaq: AVXL) said on May 11, 2026 that it cannot file its quarterly report for the period ended March 31, 2026 by the May 11 due date without unreasonable effort and expense. The company filed a Form NT 10-Q, the notice a public company files when a periodic report will be late. The notice ties the delay to a review that followed the removal of the chief executive officer.

The termination

A special committee made up of independent directors terminated the employment of Dr. Christopher Missling as chief executive officer on April 30, 2026. According to the notice, the committee acted for conduct that it believed was inconsistent with company policy, among other reasons. The company had already described the termination in a Current Report on Form 8-K filed May 6, 2026.

On May 4, 2026, the special committee appointed Dr. Terrie Kellmeyer as interim chief executive officer.

Why the 10-Q is late

The notice sets out two conditions for filing. First, the special committee and the company must complete their review of matters tied to Dr. Missling's termination. Second, Dr. Kellmeyer must have had sufficient opportunity to review the 10-Q before she certifies and files it. Until both conditions are met, Anavex says it cannot complete preparation and review of the report without unreasonable effort or expense.

The company says the committee and the company are working diligently to finish the review so it can file the report. The same notice warns that the review may take longer than currently expected, and that the 10-Q may therefore be filed later than the company now anticipates.

Other answers on the form

The notice answers yes to whether all other periodic reports required over the preceding 12 months have been filed. It answers no to whether the company expects a significant change in results of operations for the quarter compared with the same period a year earlier. Sandra Boenisch, Principal Financial Officer and Treasurer, signed the notice on May 11, 2026 and is the contact for it. The notice gives the company's address as 630 5th Avenue, 20th Floor, New York, New York.

The company's annual report

The annual report on Form 10-K, filed November 25, 2025, describes Anavex as a clinical-stage biopharmaceutical company that applies precision medicine to central nervous system diseases. Its stated focus includes Alzheimer's disease, Parkinson's disease, schizophrenia, neurodevelopmental and neurodegenerative disorders, and rare diseases, including Rett syndrome.

The report says the pipeline includes ANAVEX 2-73, which is in three clinical trial indications, and ANAVEX 3-71, which is in one clinical trial. It also lists several other compounds at clinical and preclinical stages. The report refers to a pending European Medicines Agency decision on a Marketing Authorization Application for blarcamesine for Alzheimer's disease, with the timing of that decision listed among its forward-looking risks.

The same report says Anavex has had a history of losses and no revenue, which raises a risk regarding its ability to continue as a going concern in the future, and that it had accumulated a deficit of approximately $382 million from inception through September 30, 2025. It also describes financing through a sales agent under an at-the-market program and, historically, a purchase agreement with Lincoln Park Capital Fund, LLC, under which the company could direct Lincoln Park to buy registered shares.

What is still open

The notice does not name the matters under review and gives no new date for the 10-Q. Readers who want the termination details will need the May 6, 2026 8-K that the notice cites.
