Tickers ANRO
Alto Neuroscience filed a $300,000,000 shelf on February 3, 2025 and signed a $75,000,000 at-the-market sales agreement with Leerink Partners LLC, but no sale can start until the SEC declares the shelf effective, and its year-end cash figure is still preliminary.

Alto Neuroscience, Inc. (NYSE: ANRO) filed a Form S-3 shelf registration statement with the Securities and Exchange Commission on February 3, 2025, covering up to $300,000,000 of securities. The registration statement contains two prospectuses. The base prospectus covers common stock, preferred stock, debt securities and warrants, which lets the company offer securities from time to time once the registration takes effect. The second prospectus covers an at-the-market offering of up to $75,000,000 of common stock. On January 31, 2025, the last reported sale price of the common stock was $4.29 per share.
A shelf lets a company raise money in several offerings over time. An at-the-market program sells shares gradually into the trading market at prevailing prices through a sales agent.
The sales agreement
The same day, Alto signed a Sales Agreement with Leerink Partners LLC as its agent. Under the agreement the company may sell shares of its common stock through or to the agent, and the agent will use commercially reasonable efforts to sell them based on the company's instructions. The agent is entitled to a commission of up to 3.0% of the aggregate gross sales price per share sold. The prospectus says Leerink Partners may be deemed an underwriter under the Securities Act, and that Alto has agreed to indemnification and contribution for certain liabilities, including liabilities under that Act.
Sales can begin only after the SEC declares the registration statement effective, "if ever," in the words of the 8-K. The company has no obligation to sell any shares and may suspend offers or end the agreement at any time.
Leerink Partners LLC is the only agent named. The S-3 says Cooley LLP will pass on the validity of the securities, and its copies-to block lists Cooley's Chicago office alongside the company's chief financial officer, Christina Roupas. The filings name no counsel for the agent.
The preliminary cash figure
The 8-K's Item 2.02 discloses cash and cash equivalents of approximately $168 million as of December 31, 2024. The figure appears in the at-the-market prospectus, and the company says its financial closing procedures for the year ended December 31, 2024 are not yet complete, so final results may differ materially. The 8-K says the company's auditor, Deloitte & Touche LLP, has not audited, reviewed or performed any procedures on the figure, and that the company should not place undue reliance on it.
The cash balance is the only financial figure in the filings. A shelf adds capacity but no cash until shares are sold, and the program is a ceiling, not a commitment. The S-3 gives no net loss, cash burn or operating expense for any period, no count of shares outstanding and no dilution figure, so the program cannot be set against the company's spending.
Use of proceeds
The prospectus says Alto currently intends to use net proceeds from any sales for general corporate purposes, including clinical trial expenses, research and development expenses, general and administrative expenses and capital expenditures, unless a supplement says otherwise.
What the company is developing
Alto describes itself as a clinical-stage biopharmaceutical company that uses a proprietary Precision Psychiatry Platform, to look for brain-based biomarkers that predict which patients respond. The filings give no clinical results to test that claim against.
The company says it is advancing five clinical-stage product candidates, initially for major depressive disorder, bipolar depression and schizophrenia, and that its most advanced candidates are in Phase 2. ALTO-300, also known as agomelatine, is novel in the U.S. but has been approved as an antidepressant in Europe and Australia since 2010. ALTO-101, a PDE4 inhibitor given through a skin patch, is aimed at cognitive impairment associated with schizophrenia.
What comes next
Sales under the program cannot start until the SEC declares the S-3 effective, and neither filing records that step. The next disclosure on cash would be the final year-end figure once the closing is complete. Any sale under the agreement would appear in later filings.
