The offering
Alpha Teknova, Inc. (Nasdaq: TKNO) said on October 20, 2026 that it had started an underwritten public offering of its common stock. The final prospectus supplement, dated October 21, 2026, priced 8,000,000 shares at $5.00 per share. The shares total $40,000,000 at the public offering price. After underwriting discounts and commissions of $2,400,000, proceeds to Teknova before expenses are $37,600,000. Delivery was expected on or about October 22, 2026.
The underwriters also have a 30-day option to buy up to 1,200,000 more shares at the same price, less discounts. The $5.00 price is below the last reported sale price of $6.80 on October 19, 2026, the day before the offering was announced.
Who ran the deal
TD Cowen and William Blair are joint book-running managers. Craig-Hallum is lead manager, and Stephens Inc. and Roth Capital Partners are co-managers. Paul Hastings LLP of Palo Alto, California, is passing on the validity of the shares for Teknova. DLA Piper LLP (US) of San Diego, California, is counsel to the underwriters.
The shares are sold under a Form S-3 shelf registration (File No. 333-288613) that Teknova filed on July 10, 2025 and that was declared effective on July 16, 2025. The shelf covers up to $225,000,000 of securities. The company, its executive officers, directors and certain other stockholders agreed not to sell stock for 90 days after pricing without the written consent of TD Securities (USA) LLC and William Blair & Company, L.L.C. A 2023 sales agreement, originally with Cowen and Company, LLC and now assigned to TD Securities (USA) LLC, leaves up to $50.0 million of stock available once the lock-up ends, but no sales can be made under it until a new prospectus is filed.
Use of the money
Teknova said it intends to use the net proceeds for general corporate purposes, including potentially repaying a portion of its outstanding debt obligations. It may also use some of the money to acquire or invest in complementary businesses, products and technologies, but it has no current commitments to do so. The supplement names MidCap Financial Trust as agent and lender under a Second Amended and Restated Credit Agreement dated March 3, 2025, but does not say which debt would be repaid.
Dilution and the share count
Teknova had 53,702,534 shares outstanding as of September 30, 2026, before this offering. It also had 6,417,264 shares issuable on outstanding options at a weighted average exercise price of $3.34. The supplement says new investors face immediate dilution of $3.58 per share. Net tangible book value was $0.93 per share at June 30, 2026, and would be $1.42 per share as adjusted for the offering.
The business and the finances
Teknova, based in Hollister, California, makes critical reagents for the life sciences industry. Its 10-K for 2025, filed March 2, 2026, reported revenue of $40.5 million, up from $37.7 million in 2024. The net loss was $17.3 million, against $26.7 million a year earlier. Cash used in operations was $8.6 million, down from $12.4 million. The company's list of forward-looking risks names "our recent history of losses and our ability to continue as a going concern".
Short-term investments were $26.7 million at December 31, 2024, $15.4 million at December 31, 2025 and $11.4 million at June 30, 2026. Cash and cash equivalents were $3.7 million at the end of 2024, $5.9 million at the end of 2025 and $6.0 million at June 30, 2026.
The supplement also gives preliminary unaudited third quarter figures. Revenue is estimated between $12.5 million and $12.7 million, gross margin between 36.0% and 38.0%, and adjusted EBITDA between negative $1.2 million and negative $1.0 million. Cash and short term investments at September 30, 2026 are estimated at $16.6 million. The company says the estimates may change materially.
What the figures set against each other
The $37.6 million in proceeds is large next to $16.6 million of estimated cash and short term investments at September 30, 2026, and the 8,000,000 new shares are added to the existing count. The supplement describes no specific acquisition, so the proceeds have no assigned use beyond general purposes and possible debt repayment.
